SECTION FOUR <br />ItlD DOCUMEblTS <br /> <br /> All bid documents, if any, including, but not bruited to bid instructions, general <br />provisions, specifications, drawings and bid proposal~, shall constitute a part of this <br />agreement. <br /> <br />SECTION FIVE <br />MISCELLANEOUS <br /> <br />This agreement with Exhibits and bid documents contains the entire <br />agreement between the part/es with respect to the transactions contemplated <br />herein and all prior or contemporaneous written or ora/ agreements with <br />respect to the subject matter hereof are merged herein. No change, <br />amendment, qualifications or cancellation hereof shall be effective unless in <br />writing and executed on behalf of the parties hereto by their duly authorized <br />officers. <br /> <br />This agreement shall be binding upon and inure to the benefit of the parties <br />hereto and their respective successors and permitted assigns; provided <br />however, that nei~er of the parties hereto shall have the right to assign /ts <br />fights or obl/gations under th/s agreement without the prior written consent of <br />the other party. <br /> <br />This agreement may be executed in several counterparts, each of which shall <br />be deemed to be an original and which together shall constitute one and same <br />instrument. <br /> <br />(d) This contract shall be governed in accordance with the laws of the State of <br /> North Carolina. <br /> <br /> <br />
