ITEM 2. <br /> <br />Term. This agreement shall continue in force beginning January 1, <br /> <br />2000 - December 31, 2000 ("Initial Term"). The County, at its sole <br />option, may extend this Contract for an additional two-year term by giving <br />written notice to the Contractor at least sixty days prior to the expiration of <br />the Initial Term. <br /> <br />ITEM 3. <br /> <br />Nonappropriation <br /> <br />Contractor understands and is in total agreement with the principal that <br />funds for payment by the County under this Contract are subject to the <br />availability of an annual appropriation for this purpose by the County <br />Board of Commissioners. In the event of nonappropriation of funds by the <br />County for the Services, the County may terminate this Contract, without <br />termination charge or other liability, on the earlier to occur of: (1) the last <br />day of the then-current fiscal year; or (2) when the appropriation made for <br />the then-current year for Services covered by this Contract is spent. <br />Notwithstanding any other re, al or condition of this Contract or any other <br />agreement by and between the parties hereto, if at any time funds are not <br />appropriated for the continuance of this Contract, the County will use <br />reasonable efforts to provide the Contractor with thirty days' prior written <br />notice of termination; however, failure to give such notice shall be of no <br />adverse effect or consequence to the County and the County shall not be <br />obligated under this Contract beyond the date of non-appropriation. <br /> <br />ITEM 4. <br /> <br />Termination. <br /> <br />(a) Upon the occurrence of any one or more Contractor violations of <br /> this Contract (including without limitation, failure to perform in <br /> accordance with the Specifications) this Contract may be subject to <br /> cancellation by the County, at the County's sole option. Except as <br /> set forth herein, the County shall give the Contractor ten (10) days <br /> notice by registered or certified mail of the date set for <br /> cancellation, the grounds of cancellation, and shall provide the <br /> <br /> <br />
