(b) Contractor with an opportunity to be heard with respect to the proposed cancellation, on or before the effective date of cancellation, if a timely request is made by the Contractor. Either party has the right to terminate this agreement at any time by providing the other party sixty (60) days prior written notice by registered or certified mail. The Services shall be performed by the Contractor in a manner satisfactory and acceptable to the County, who shall be the sole judge of quality of work and performance of the Contractor. ITEM 5. Documentation. The County agrees to execute the necessary documentation in order to issue payment to the Contractor, according to the terms and price herein, within thirty (30) days of submission of invoice to the County by the Contractor. ITEM 6. Entire Agreement. This agreement, along with Exhibits attached hereto, contains the entire agreement between the parties, and no other statement, promises, or inducements made by either party or agent of either party that is not contained in this written agreement shall be valid or binding. This agreement may not be enlarged, modified, or altered except in writing signed by the parties hereto. Should there be a conflict between specific terms and conditions of this Agreement and the Specifications, the Specifications terms and conditions shall control. The terms and conditions of any indemnity shall survive termination of this agreement. ITEM 7. Notice. All necessary notices, demands and requests required or permitted to be given under the provisions of this agreement shall be deemed duly given if mailed by registered mail, postage pre-paid, addressed as follows: (a) if to Cabarrus County, P.O.
