He recommended that the Board move forward with the upset bid <br />process with the following three conditions added to tke purchase proposal. <br /> <br />(1) Possession of the property by the successful purchaser shall be <br /> deferred until October 1, 2000 regardless if an earlier closing <br /> of the transaction should occur. If the purchaser should decide <br /> to close on the property prior to October 1, 2000, then the <br /> County's rent to the purchaser for use of the property for the <br /> interim period shall not exceed one dollar ($1.00) per month. <br />(2) The County and the School System shall have salvage rights to all <br /> materials inclusive of fencin9 located on the site if removed <br /> prior to October 1, 2000. <br />(3) The purchaser accepts possession of the property in "as-is" <br /> condition on the date of possession (October 1, 2000). <br /> <br /> Mr. Hartsell pointed out a number of statutory defects in the proposed <br />"Agreement of Purchase and Sale". These items included the addition of a <br />provision for requiring the submission of a five percent (5%) bid deposit and <br />removal of the provision for the County to pay a five percent {5%} commission <br />of the sales price. <br /> <br /> UPON MOTION of Chairman Fennel, seconded by Commissioner Carpenter and <br />unanimously carried, the Board authorized the County Manager and County <br />Attorney to work out the proper agreement for the proposed sale of the old <br />Harrisburg School property to Boulevard East LLC at a purchase price of <br />$2,005,000.00, subject to upset bid and including the conditions and <br />stipulations as listed above, and authorized the County Manager and County <br />Attorney to proceed with the upset bid process when the proper agreement is <br />in place. <br /> <br />Annual Audit Contract with Potter and Company, P.A. ($25,000) <br /> <br /> MS. Pam Dubois, Assistant Finance Director, reviewed the proposed audit <br />contract with Potter and Company, P.A. for the period July 1, 1999 to June <br />30, 2000. She advised the County had used this audit firm since 1990. <br /> <br /> There was discussion regardin9 the advantages and disadvantages of <br />using the same audit firm over an extended period of time. <br /> <br /> The Board by consensus agreed to defer consideration of the annual <br />audit contract until the next meeting and asked County staff to solicit <br />proposals from other firms to conduct the annual audit. <br /> <br /> <br />
