SECTION VI: INDEMNIFICATION <br /> <br />The Provider hereby releases the County from, agrees that the County and each <br />-commissioner, officer and employee shall not be liable for, and agrees to indemnify and <br />hold harmless the County and each commissioner, officer and employee thereof from any <br />liabilities, obligations, claims, damages (including but not limited to civil or criminal <br />penalties), litigation costs and expenses (including reasonable attorney's fees and <br />-expenses), imposed on, incurred by or asserted against the County or any commissioner, <br /> officer employee thereof for any reason whatsoever (included by not limited to accident, <br /> other occurrence causing injury or death, sickness or disease to any person or damages to <br /> or destruction of property) pertaining to this contract or arising out of the activities of the <br /> Prm4dcr~ this <br /> <br />SECTION VII: INSURANCE <br /> <br />The Provider shall take out and maintain insurance as listed below fi.om a company <br />which/s authoriz~ to-doJousiness/n~the Statem~-Nm-thCarolina. <br /> <br />A. Comprehensive General Liability, Bodily Injury and Property Damage Liability <br />B. Professional Liability <br />C. Worker's Compensation <br />-D. Certificate of Insurance: Certificates of such insurance shall be furnished to the <br /> County at their request. <br /> <br />SECTION VIII: TERMINATION <br /> <br />This contract may be terminated, in whole or in part: <br /> <br />A. At the expiration of the contract terms as herein defined; or <br />~B. Upon mutual consent of both parties or thirty (30) days after one of the contracting <br /> parties gives notice of the termination; or <br />C. Upon action by a legislative, regulatory or judicial authority preempting, voiding or <br /> preventing implementation or continuance of this Contract; or <br />D. By the County in event that funds are no longer available for the purchase of services. <br />E. Notification of termination of contract by either side shall be given within 30 days of <br /> said termination. <br /> <br /> SECTION IX: INDEPENDENT CONTRACTORS <br /> <br />The officers, employees, subcontractors, agents and all personnel of the Provider are the <br />officers, employees, subcontractors and agents of the Provider and are not officers, ' <br /> <br /> Page 6 of 8 <br /> <br /> <br />
