(ii) <br /> <br />The County responds in writing, granting to the Contractor <br />approval for the extension in the applicable completion date for <br />a specific time limit based upon Contractor's request. The <br />County, provided the reasons justifying the delay actually <br />established good cause, will not unreasonably withhold such <br />approvals for extensions of time for completion dates. <br /> <br />Force Majeure. The Contractor shall not be liable for loss or <br />damage due to delay in delivery resulting from any cause due <br />solely to Contractor's mandatory compliance with any federal <br />or state regulations, orders, acts, instructions, or bona fide <br />emergency priority requests of any federal or state government <br />or any department or agency thereof, military authority, acts of <br />God, material acts or omissions by the County, floods, fires, <br />hurricanes, tornadoes, earthquakes, wars, riots, extensive <br />delays or shortages in transportation due to strikes or war, <br />inability to obtain labor due to strikes or war, or inability to <br />reasonably obtain materials. In the event of such delay, the <br />County may elect to: (1) upon written request of the <br />Contractor, equitably adjust the completion date, as it may be <br />effected by such a delay, or (2) terminate this agreement, at <br />which time all obligations of County hereunder shall cease. <br /> <br />Warranty, Liability and Standard of Care. <br /> <br />(a) <br /> <br />The Contractor shall perform all obligations under this Agreement in <br />a professional manner, using the degree of care and skill ordinarily <br />exercised by and consistent with the standards of competent <br />contractors practicing in the same or similar field as the Project. <br /> <br />(b) <br /> <br />In addition to the above warranty, the Contractor specifically warrants <br />the fitness and suitability of the System for the purpose intended in <br />accordance with this Agreement. <br /> <br /> <br />
