year; or (2) when the appropriation made for the then-current year for Services covered by this Contract is spent. Notwithstanding any other term or condition of this Contract or any other agreement by and between the parties hereto, if at any time funds are not appropriated for the continuance of this Contract, the County will use reasonable efforts to provide the Contractor with thirty days' prior written notice ofter,dnation; however, failure to give such notice shall be of no. adverse effect or consequence to the County and the County shall not be obligated under this Contract beyond the date of non-appropriation. ITEM 4. Termination. (a) Upon the occurrence of any one or more Contractor violations of this Contract (including without limitation, failure to perform in accordance with the Specifications) this Contract may be subject to cancellation by the County, at the County's sole option. Except as set forth herein, the County shall give the Contractor ten (10) days notice by registered or certified mail of the date set for cancellation, the grounds of cancellation, and shall provide the Contractor with an oppom~nity to be heard with respect to the proposed cancellation, on or before the effective date of cancellation, if a timely request is made by the Contractor. Either party has the fight to terminate this agreement at any time by providing the other party sixty (60) days prior written notice by registered or certified mail. (b) The Services shall be performed by the Contractor in a manner satisfactory and acceptable to the County, who shall be the sole judge of quality of work and performance of the Contractor. ITEM 5. Documentation. The County agrees to execute the necessary documentation in order to issue payment to the Contractor, according to the temis and price herein, within thirty (30) days of submission of invoice to the County by the Contractor.
