Letter of Agreement, Cabarrus County
February 10, 1998
Page 2

Although our selection of programming is not subject to regulation by the franchise
authorities within the communities we serve, I assure you that it is our intent to continue
to provide locally produced cable programming as we have over the first term of our
franchise agreement with Cabarms County.

It is also our local policy to provide cable television service to all residences within 300
feet of existing aerial or underground cable plant at the prevailing, published standard
installation fee in effect. This policy is much more liberal than the 150 foot standard drop
length approved by our Company on a nationwide basis and published in our franchise
agreements.

We are currently revising our Construction Manual which is referred to in the Franchise
Agreement. Upon completion of this project we will provide the County with a copy of
the updated version.

The Federal Communications Commission is the promulgator of rules regarding the
Emergency Alert system referred to in the franchise. The most recent date announced for
enactment of this plan is December of 1998.

We look forward to providing Cabarrus County with the best cable technology and
services over the ensuing twelve (12) years.

Sincerely,

TIME WARNER CABLE OF METROLINA

.
