appurtenances and rights, whatsoever, now or hereafter, in any <br />way belonging, relating or appertaining to the above referred <br />Demised Premises. <br /> <br /> Landlord also agrees to convey, over and upon existing <br />and proposed streets, alleyways, parking lots, rights-of-way <br />and other public vehicular areas, all necessary easements and <br />rights-of-way to Tenant for the purposes of parking and <br />egress, ingress and regress to and from N.C. Highway 73 and, <br />to the extent possible, Lenmore Drive. Tenant shall convey to <br />Landlord all necessary easements over and upon proposed <br />parking lots and rights-of-way it intends to construct under <br />this Lease. Tenant and Landlord shall execute all necessary <br />documentation, in recordable form, to effectuate said <br />easements. <br /> <br /> 2. Term of Lease. The term of this Lease (the <br />"Term") shall begin as of , 1998, and shall end at'12:00 <br />midnight, fifty (50) years after the "Date of Completion of <br />Construction" as hereinafter defined, but in no event later <br />than midnight, December 31, 2050, unless sooner terminated in <br />accordance with the terms thereto. <br /> <br /> 3. Rental. Tenant shall pay to Landlord for the use <br />and occupancy of the Demised Premises during the Term of this <br />Lease an annual rental of One Dollar ($1.00). All rental due <br />under this Lease shall be payable immediately upon execution <br />of this Lease. By executing this Lease Landlord acknowledges <br />receipt of all rental due for the term of this Lease. <br /> <br /> 4. Definition of Lease Year. A 'Lease Year" shall be a <br />twelve (12) month period beginning with the date of beginning <br />identified in Paragraph 2. <br /> <br /> 5. Condition and Use of D~--~sed Pr~m~ses. Subject to <br />the terms hereof, Tenant shall cause to be fully constructed <br />on the Demised Premises at its sole expense, an adult day care <br />facility, together with related facilities in accordance with <br />the applicable zoning and the plans and specifications <br />prepared by Tenant and previously approved by Landlord in <br />writing. During the Term of this lease, Tenant shall use the <br />Demised Premises for lawful purposes associated with the <br />public purpose of providing care and assistance to any <br />Cabarrus County resident, who, in the sole opinion of the <br />Board of Directors of Tenant, meets the qualifications set <br />forth from time to time by the Tenant for such care and <br />assistance in accordance with the Bylaws and Articles of <br /> <br />Incorporation of Tenant.
