of AGENCY's receipt of such notice, then CONTRACTOR may suspend further services to AGENCY <br />until all payment defaults are cured. <br />4. COUNTY APPROVAL. COUNTY approves and authorizes the use of the COUNTY-provided <br />vehicles for the perforniance of these services m~d the participation of AGENCY in coordinated <br />transportation system subject to the terms of the SYSTEM CONTRACT, with the understm~ding that <br />AGENCY shall be invoiced by CONTRACTOR and that AGENCY shall pay CONTRACTOR dircctly. <br />Upon request, COUNTY may receive copies of m~y invoices, payment, or other documentation <br />concerning the services provided by CONTRACTOR to AGENCY. <br />5. INDEMi~IFICATION,' INSURANCE. The parties agree that CONTRACTOR shall as and to the <br />extent specified in the SYSTEM CONTRACT, Article I, Paragraph I.: (i) ensure that specified insurance <br />is in force on all vehicles and (ii) hold AGENCY, its officers, employees and agents harmless to the <br />extent specified in SYSTEM CONTRACT, Article I, Section I, except as specified in SYSTEM <br />CONTRACT Article II, Section O. <br />6. TERMINATION. This agreement may be terminated by either party upon thirty (30) days written <br />notice. <br />7. ~OTICES TO PARTIES. All notices to be given by the parties to this Agreement shall be in <br />writing and served by depositing same h~ the United States Mail, postage prepaid, registered or certified <br />mail. Notices to AGENCY shall be addressed to: <br /> <br />Notices to CONTR_~.CTOR shall be addressed to Paul Larson, Vice President, Mayflower Contract <br />Services, Inc. 5360 College Boulevard, Overland Park~ KS 66211; Notices to COUNTY shall be <br />addressed to the first address for COUNTY identified above. Either AGENCY or COU_"NTh: er <br />CONTRACTOR may change its address of record for receipt of official notice by giving the other <br />~%tten notice of such change ~d any necessary mailing instructions. <br />8. ENTIRi~. AGREEMENT. This Agreemeni sets £onh the entire agreement bet~een AGENCY and <br />COL..rNTY and CONTRACTOR concerrdng the subject matter hereof.
