HUMAN SERVICE TRANSPORTATION AGREEMENT

<br />hereinafter called "COUNTY", and MAYFLOWER CONTRACT SERVICES, INC., mi India.ha
<br />corporation whose principal place of business is 5360 College Boulevard, S~ite 200, Overland P~k, KS
<br />66211, hereinafter called "CONTRACTOR."
<br /> WlTNESSETH:

<br />WHEREAS, AGENCY has selected CONTRACTOR to provide the transportation services described
<br />herein w4H vehicles CONTRACTOR leases fi'om COUNTY for the purposes of providing a coordinated
<br />human service agency transportation system; and
<br />WHEREAS, CONTRACTOR desires to provide such transportation services,
<br />WHEREAS, COUNTY's contract with CONTRACTOR dated January l, 1995, 0~ereJnafter, the
<br />"SYSTEM CONTP~.CT"), provides for the delivery by CONTRACTOR tl~rough December 31~ t995,
<br />and mutually agreed extension periods, if any, of a unified, coordinated, human service agency
<br />transportation system; and requires COUNTY to authorize any use of the COUNTY-provided vehicles.

<br />WHEREAS, the patties agree that the terms of the ratified, coordinated SYSTEM CONTRACT,
<br />amended fi'om time to time, shall govern the relationsh/p berween AGENCY and CONTRACTOR,
<br />except as expressly provided otherwise herein;
<br />NOW, THEREFORE, in consideration of the covenants hereinafter contained, the parties agree as
<br />follows:

<br /> l. TE~M. The term of'th/s Agreement shall conunence January !, 1995, ~md shall continue througtn
<br /> December 31, 1995, or any earlier effective date of termination of the SYSTEM CONTRACT,
<br /> whichever comes first. This Agreemem may be exlended for an additional period upon such terms as
<br /> the parties may agree in writing.
<br />2. ~. CONTRACTOR shall provide transportation services as specified in the SYS'rH.~t
<br />CONTRACT, as the same may be modified from time to thne, to AGENCY on an as-needed basis.
<br />3. COMPENSATION ANB BILLING. In consideration for services rendered hereunder, AGENCY
<br />shall pay to CONTRACTOR all sums due and owing and calculated iD accordance with the rares s.~.
<br />forth in the SYSTEM CONTRACT, as such rates may be adjusted th'ne to time as provided herein.
<br />CONTRACTOR shall invoice AGENCY monthly upon the same schedule mxd by providing the san~e
<br />documentation as CONTRACTOR provides COUNTY under thc SYSTEM CONTRACT. There will
<br />be no separate schedule of invoicing and maimer of reporting adopted by CONTRACTOR solely for the
<br />AG£NCY invoicing. Provided that CONTRACTOR invoices AGENCY prior to the sixth day of the
<br />month following delivery of service, AGENCY shall pay CONTRACTOR the anmunt invoiced by the
<br />15th day of' the month in which He invoice was received; provided, however, that in no event shall
<br />AGENCY pay CONTRACTOR any later than thirty days after the date AGENCY receives the invoice.
<br />If AGENCY disputes any portion of any invoice, AGENCY shall pay the undisputed portion in a timely
<br />~fashion. If AGENCY defaults in timely payment of ,'m invoice, CONTRACTOR may provide
<br />AGENCY v~'[rh writ'ten notice of such default and if AGENCY fails to cure such default within five days
