The Board meeting minutes should record that a disclosure and abstention from voting <br />occurred and the presence of a quorum. A Board member who makes a disclosure and <br />abstains may nevertheless state his/her position on the matter and answer questions of <br />other Board members, since this knowledge may be of assistance to the Board. <br /> <br />The Director shall annually send to all current Board members a copy of this policy, <br />together with a disclosure questionnaire (attached). The Director shall submit a <br />confidential report to the Chairman of the Board of Commissioners and Advisory Board <br />ChaMnan, summarizing the questionnaire results. <br /> <br />10. <br /> <br />Newly appointed Board members and management staff shall be requested by the Director <br />to complete a disclosure questionnaire immediately upon assumption of his/her <br />responsibilities. <br /> <br />11. <br /> <br />The following information should help Board members and management staff in <br />identifying potential/actual conflicts of interest: <br /> <br />a. Interests: <br /> <br />Holding by a Board member or management staff, directly or indirectly, of a <br />position or of material financial interest in any outside concern, from which the <br />agency secures goods or services. <br /> <br />b. Outside Activities: <br /> <br />Rendition by an individual of directive, managerial, or consultative services to any <br />outside concern which does business with the Agency. <br /> <br />c. GiRs, Gratuities and Entertainment: <br /> <br />Acceptance by an individual of gifts, excessive or unusual entertainment, or other <br />favors from any outside concern which does, or is seeking to do, business with the <br />Agency under circumstances from which it might be inferred that such action was <br />intended to influence the individual in the performance of his/her duties. This does <br />not include the acceptance of items of nominal or minor value which are of such a <br />nature as to indicate that they are m~rely tokens of respect or friendship and not <br />related to any particular transaction or Agency activity. Nominal value is defined <br />as items with a value often dollars (10.00). <br /> <br />d. Inside Information <br /> <br />Disclosure or use of Agency information for the personal profit or advantage of <br />the individual or anyone else. <br /> <br /> <br />
