AGREEMENT <br /> <br />THIS AGREEMENT, made and entered into this 5th day of April, 1995, by and between <br />CABARRUS COUNTY, a political subdivision of the State of North Carolina, <br />hereinafter refereed to as "County"; and THE INTELLIGENT DOCUMENT <br />COMPANY, a North Carolina corporation, hereinafter referred to as "IDC". <br /> <br />WITNESSETH: <br /> <br /> Whereas [DC has experience in the development of documentation software for <br />use on Microsoft Windows and Windows NT; and <br /> <br /> Whereas County desires IDC to develop certain documentation software <br />(hereinafter defined and referred to as "Single Application") for use on a Windows NT <br />Server. <br /> <br /> Now therefore in consideration of the mutual covenants and promises set forth <br />herein, the parties agree as follows: <br /> <br />1. Definitions. As used in this Agreement, the following terms shall apply: <br /> <br /> (a) "Single Application" shall mean the document production and storage <br />software based on Document View, an application software developed and wholly owned <br />by[DC. <br /> (b) "Network" shall mean the Windows NT Advance Server network designed, <br />installed, and administered by County. <br /> (c) "OODBMS" shall mean the Object Orientated Data Base Management System <br />purchased by County fr~.m POET Software Corporation to run on Microsoft Windows <br />NT Server. <br /> (d)"Deliverables" shall mean any or all line item(s) as put forth on Attachment I. <br /> <br />2. Warranties and representations. IDC warrants and represents that: <br /> <br /> (a) Single Application and all portions thereof shall be developed solely by [DC <br />pursuant to this Agreement. <br /> (b) [DC owns or shall own the entire right, title and interest in and to Single <br />Application and all proprietary rights therein. <br /> (c) [DC will grant to County an unlimited user licenses for Single Application to <br />be used by the Department of Social Services. <br /> <br /> <br />
