P~e3 <br /> <br /> 7. Termination and cancellation. This Agreement may be terminated/canceled by <br />either party upon fifteen (15) days after written notice to the other party, but without <br />prejudice to any rights of either party to moneys due or to become due under this <br />Agreement. <br /> <br /> 8. Indemnities. IDC shall indemnify and hold County harmless against any loss or <br />liability to person or property arising out of the performance of IDC under this <br />Agreement. <br /> <br /> 9. Term. This Agreement shall remain in effect as long as any Attachment <br />remains in effect and automatically terminates when all Attachments terminate. <br /> <br />10. General. <br /> <br /> (a) This Agreement is the sole and entire agreement between the parties relating <br />to the subject matter hereof, and supersedes all prior understandings, agreements, and <br />documentation relating to the subject matter hereof. This Agreement may be amended <br />only by an instrument executed by the authorized representatives of both parties. <br /> (b) This Agreement shall be interpreted in accordance with the substantive law of <br />the state of North Carolina. <br /> <br />This instrument has been preaudited <br />in the manner required by the Local <br />Government Budget an0..: Fiscal <br />Control Act. <br /> <br />Cabarrus County <br /> <br />Jeffrey L.
