5. USE <br />LESSEE agrees to operate said equipment according to the <br />instructions of LESSOR and shall not alter or permit the alteration <br />of the equipment in any manner. The LESSEE agrees to immediately <br />notify LESSOR of any difficulties in the operation of the <br />equipment. LESSEE may change the location of any telephone station <br />within its rooms at its own risk and without permission of LESSOR. <br />LESSEE shall further bear the costs, if any, of construction <br />changes it desires to accommodate any equipment associated with the <br />system per Schedule A. Any costs related to moves or changes in <br />existing equipment imposed by tariff regulations may also apply. <br /> <br />6. SERVICE AND MAINTENANCE <br />Subject to the provisions of this paragraph and the provisions of <br />Paragraph 10, during the term of this lease, and so long as LESSEE <br />shall not be in default in the performance or observance of any of <br />the covenants or conditions to be performed or observed by LESSEE <br />under this lease,LESSOR will keep the leased equipment in good <br />operating condition, provide for service, labor, repair and <br />replacement parts, and effect upon request all repairs necessitated <br />by normal use, wear and tear, but not the misuse or improper power <br />supply. LESSEE agrees to use due care in handling and operation <br />of the equipment. <br /> <br />7. TAXES <br />LESSOR shall pay all personal property taxes assessed and payable <br />on the equipment. LESSEE shall pay all other taxes, license charge <br />and fees, including by way of illustration only, any sales, use or <br />compensating or similar tax, assessed against LESSOR and shall pay <br />when due any such taxeS, charges or fees assessed against LESSEE. <br /> <br />8. INSPECTION <br />LESSOR shall have the right at all times during business hours to <br />inspect the equipment or observe its use. <br /> <br />9. TITLE POSSESSION, LIENS AND SURRENDER <br />Leased equipment is and shall remain personal property irrespective <br />of its manner of attachment to realty or use. Title to leased <br />equipment shall at all times be and remain with LESSOR, and LESSEE <br />shall keep all leased equipment free and clear from any and all <br />claims, liens and encumbrances. Upon expiration of this Lease <br />Term, LESSEE shall return the leased equipment unencumbered to <br />LESSOR at premises of LESSEE, in the same condition as when <br />received by LESSEE, reasonable wear and tear resulting from normal <br />use of leased equipment alone excepted. So long as LESSEE shall <br />not be in default under this Lease, LESSEE shall be entitled to <br />possession and use of leased equipment in accordance with the terms <br />of this Lease. LESSEE shall not, without prior written consent of <br />LESSOR, remove any part of leased equipment from premises of <br />LESSEE. <br /> <br />-3- <br /> <br /> <br />
