landfill or further assessment of potential contamination from the existing landfill moving
toward Option B. If there are any such delays, both parties agree that this schedule will be
extended by at least an equivalent time of the delay.

The method of payment for services rendered by ENGINEER as set forth in Item
B of said Agreement is amended and supplemented as follows:

For the Basic Services performed by ENGINEER under Section 1 of this Amendment,
OWNER agrees to pay ENGINEER the lump sum fee of $120,000 partial payments to be
made monthly in accordance with the percentage of work completed that month. The lump
sum fee is broken down by Task with individual estimated costs (provided for information
purposes) as shown below.

Task I - Regional Characterization Study $ 8,500
Task 2 - Local Characterization Study $ 8,500
Task 3 - Site Hydrognological Study $ 42,500
Task 4 - Location Restrictions $ %000
Task 5 - Local Government Approvals $ 7,500
Task 6 - Proposed Facility Plan $ 28,000
Task 7 - Draft and Final Site Study $ 8,500
Task 8 - Meetings and Presentations $ 7,500

The following allowances for subcontracted services are included in this Amendment and are
not part of the lump sum fee presented above. As mentioned throughout Section I of the
Amendment, CDM will solicit competitive proposals for all of the drilling, survey,
archaeological, wetlands, and endangered species work, as it becomes necessary. Because the
aerial photography/topographic photos were obtained during the Transition Plan, CDM will
seek a proposal from the finn that completed that project. In addition, because the magnetic
survey work is very specialized, CDM will only solicit a proposal from GEI Consultants for
that work. The allowances for all subcontracted work axe presented below:

Drilling Allowacce $ 30,000
Magnetic Survey $ 8.0130
Boring Location Survey $ 15,000
Wetlands Delineation $ 15,000
Wetlands Mapping Survey $ 10,000
Aerial ?holograph $ 1,500
Aerial Topographic Mapping $ 5,500
Archaeological Study $ 7,500
Endangered Species Study $ 7,500
TOTAL ~

It is recognized that the above allowances axe estimates at this time pending the solicitation
and receipt of proposals. Actual contracted mounts for any individual subcontracted service
listed above may exceed the designated allowance, however, the total subcontracted service
amount may not exceed $100,000 without an additional authorization.

The total authorized amount for this Amendment is $220~000 which is comprised of $120,000
for CDM services and an allowance of $100,000 for subcontracted services.
