RESOLUTION NO. N/A <br /> <br /> WHEREAS, VISION CABLE OF NORTH CAROLINA, INC. ("Vision Cable") <br />is the holder of a franchise (the "Franchise") to provide cable <br />television service for Cabarras County; and <br /> <br /> WHEREAS, the parent company of Vision Cable, Advance <br />Publications, Inc., its affiliate Newhouse Broadcasting <br />Corporation, and Time Warner Entertainment Company, L.P. have <br />created a new joint venture cable operation called Time Warner <br />Entertainment - Advance/Newhouse Partnership; and <br /> <br /> WHEREAS, the Time Warner Entertainment - Advance/Newhouse <br />Partnership will be bound by the terms and conditions of the <br />Franchise subject to applicable law; <br /> <br /> NOW, THEREFORE, be it resolved that, the transfer of the <br />Franchise and the cable television system operating pursuant to the <br />Franchise from the franchisee to Time Warner Entertainment - <br />Advance/Newhouse Partnership (directly or indirectly), or <br />subsequently to a partner thereof, is hereby authorized and <br />consented to in all respects. <br /> <br />Passed this <br />ATTEST: <br /> <br />day of , 1994. <br /> <br />Clerk <br />Date <br /> <br />39336 <br /> <br /> <br />
