Mr. John Witherspoon
November 5, 1993
Page 2

C. CONDUCT PHASE ONE OF THE RETREAT

The first phase of the retreat will focus on the discussion of
problems affecting the Board of Commissioners and
determination of areas where agreement exist. Issues that
will be discussed include: the identification of specific
problems affecting the Board; what the principal causes of
these problems are; how the problems began; what efforts have
been made to resolve these problems; and, what areas of
agreement exist between the Board members. This session will
be used as the foundation for the full one-day retreat where
Commissioners will be asked to reach consensus on future goals
of the County and means of achieving these goals.

This portion of the retreat is anticipated to last no longer
than one-half day. David Galati will be facilitating this
meeting. The County will provide a recorder. The recorder
will take notes of the meeting proceedings which will be made
available to David Galati at the conclusion of both retreat
sessions. Should the County desire, the proceedings of both
retreat sessions can be recorded.

D. CONDUCT PHASE TWO OF THE RETREAT

David Galati will conduct a one-day retreat with the Board of
Commissioners. The retreat will focus upon critical issues
facing the County presently and in the future and means of
achieving goals which address these issues. One of David's
primary responsibilities will be to help the Board members
help reach consensus on these matters.

The County will provide a recorder for the one-day retreat
session.

E. PREPARE WRITTEN REPORT

Using the notes of the retreat sessions prepared by the
recorder and any tapes of the meetings, David Galati will
prepare a final report. The report will detail the major
points raised at all meeting sessions in a clear and concise
manner. A draft of the report will be prepared and submitted
to the County for review. Once any needed changes or
modifications are made, up to twenty-five (25) copies of the
report will be printed and made available to the County.

David Galati will be able to begin work on this project at most any
time. Days and times chosen for holding the two retreat sessions
may include, at the County's discretion, weekends and evenings.
