Reimbursements shall be made to UNIVERSITY for cost incurred in <br />the RESEA~RCH PROGRAM on the following basis: <br /> <br />ae <br /> <br />be <br /> <br />within (30) days of the effective date of this agreement, <br />fifteen (lS) percent of the total budgeted amount for <br />planting, or $60,000.00. <br /> <br />Thereafter, five equal payments of fifteen (15) percent, <br />or $60,000.00 will be made at quarterly intervals beginning <br />April 15, 1992 and ending on April 15, 1993. <br /> <br />The remaining ten (t0) percent, or $40,000.00 will be <br />dispersed in four (4) equal installments of $10,000.00 on <br />November 15, 1993 and April 15, 1994, 1995, and 1996. <br /> <br />Reimbursements for surveying support services ($45,600.00) <br />shall be made to UNIVERSITY within 45 days of completion of <br />such services. <br /> <br />6. INVENTIONS <br /> <br /> a. UNIVERSITY shall promptly disclose to COUNTY any and all <br />inventions or improvements, whether patentable or not, arising out of the <br />RESEARCH PROGRAM, which are conceived or made by employees of UNIVERSITY <br />solely and jointly with COUNTY employees, and the course of preparing for or <br />providing research services pursuant to this Agreement, and/or which are based <br />on COUNTY information (including materials) required to be held in confidence <br />pursuant to this Agreement (said inventions or improvements being collectively <br />referred to hereinafter as "Collaborative Inventions"). <br /> <br /> b. All rights in any Collaboration Invention conceived or <br />reduced to practice solely by employees of UNIVERSITY in the performance of <br />the RESEARCH PROGRAM shall remain with UNIVERSITY. <br /> <br /> c. All rights in any Collaborative Invention conceived or <br />reduced to practice jointly by at least one employee of each of University and <br />COUNTY shall be jointly and indivisibly shared by the parties (35 U.S.C. 262). <br /> <br /> d. COUNTY may request that patent applications be filed on such <br />inventions or improvements, as set forth in Paragraph 9 hereof. However, <br />University shall use its discretion as to whether or not to file patent <br />applications for University inventions. <br /> <br />7. ROYALTY <br /> <br /> a. With respect to such of the Collaborative Inventions as are <br />based on COUNTY information required to be held in confidence hereunder or <br />which are contributed to by one or more COUNTY employees, UNIVERSITY hereby <br />grants to COUNTY its shareholders affiliates, a worldwide, exclusive license <br />under any and all of UNIVERSITY's rights in such inventions, together with the <br />right to sub-license. <br /> <br /> For the purpose of this paragraph 7(a) only, chemical <br />samples supplied by COUNTY for the RESEARCH PROGRAM shall not be considered <br />information to be held in confidence. <br /> <br /> b. With respect to Collaborative Inventions conceived solely by <br />employees of UNIVERSITY, UNIVERSITY hereby grants to COUNTY the first right of <br />refusal to negotiate for a non-exclusive or exclusive royalty bearing license° <br /> <br /> c. Any patent license shall include at a minimum terms <br />regarding the diligence, payment of patent cost by COUNTY and royalties. <br /> <br /> <br />
