Page 5 of 6 IS. Changes. The Purchaser may require chan~es in the work and services ~hich the Center is to perform hereunder. Such changes, includinl any increase o~ decrease in the ~ount of the Centerfs compensation, which are mutually agreed upon by and between the Purchaser and the Center, shall be incorporated in vritten a~endments to this contract. Conditions of this contract, if any, must be satisfactorily addressed. The Purchaser may withhold payments under this contract until these conditions are satisfied. 1§. Termination of the Contract for Cause. If through any cause~ the Center or Purchaser fails to fulfill in a timely and proper manner its obligations under this contract, or if the Centsr or Purchaser violates any of the covenants~ agreements, representations or stipulations of this Contract~ the Purchaser or the Center shall therefore have the right to tet~ninate this contract by givenE notice to the Center or Purchaser of such tet~nination and specifyin~ the date thereof. In such event, all finished documents and other materials provided by the Purchaser under this contract shall at the option of the Purchaser, become the property of the Purchaser and likewise in such event all finished documents and other materials under this contract shall at the option of the Center become the property of the Center. The Center shall be entitled to receive just and equitable compensation for any work satisfactorily performed under this contract, except to the extent such work r~ust be duplicated in order to complete the contract. Notvithstanding the foreEoing, the Center shall not be relieved of to the Purchaser for sustained the Purchaser liability damages by by virtue of any breach of this contract by the Center, and the Purchaser withhold payment of any additional sums as security for payment of dame§es caused by the Center's breach, until such time as the exact a~ount of the da~aEes resulting from such breach is determined. 17. Termination for Convenience. The Purchaser or Center may terminate this contract for the convenience of the Purchaser or Center at any time by living ~ritten notice of such termination and specifying the date thereof~ at least fifteen (15) days before the effective date of such termination. In that event, ell finished or unfinished doctunents and other malerials provided by the Purchaser produced or collected shall, at the option of the Purchaser, become the property of the Purchaser and ~ic~ versa. If terminated by either the Purchaser or the Center, the Center viii be paid $18.00 per day for units provided durinE the contract period with a six hoar minimu~stay.
