Page 5 of 6 15. Changes. The l~rchaser require changes in the work and services which the Center is to perform hereunder. Such chan~es, including any increase or decrease in the amount of the Centerts compensation, which ~re mutually agreed upon by and between the Purchaser and the Center, shall be incorporated in written amendments to this 'contract. Conditions of this contract, if any, must be satisfactorily addressed. The Purchaser may withhold payments under this contract until those conditions are satisfied. 16. Termination of the Contract for Cause, If through any cause, the Center or Purchaser fails to fulfill in a timely and proper manner its obligations under IBis contract, or if the Center or Purchaser violates of the any covenants, a~reements, representations or stipulations of this contract~ the Purchaser or the Center shall therefore have the right to terminate this contract by giving notice to the Center or Purchaser of such termination and specifyin~ the data thereof. In such event, all finished &ocu~ents and other materials provided by the Purchaser under this contract shall at the option of the Purchasers become the property of the Purchaser and likewise in such event all finished documents and other materials under this contract shall at the option of the Center become the property of the Center. The Center shall be entitled to receive just and equitable compensation for any Work satisfactorily performed under this contract, except to the extent such work mst he duplicated in order to complete the contract. Notwithstanding the foreioing, the Center shall not be relieved of liability to the Purchaser for damages sustained by the Purchaser by virtue of any breach of this contract by the Center, and the Purchaser may withhold patent of any additional sums as security for patent of caused by the Center's breach, until such time as the exact amount of the damages resulting from such broach is determined. 1~. Termination for Convenience. The Purchaser or Center may terminate this contract for the convenience of the P~rchaser or Center at any time by $ivinE v~itten notice of such termination and specifyinB the date thereof, at least fifteen (1~) tays before the effective date of such termination.
