Such changes, including any increase <br />'~m or decrease in the amount of the Center% compensation, which are mutually <br /> agreed upon by and between the Purchaser and the Center, Shall be <br />~ incorporated in written amendments to this contract. Conditions of this <br />~ contract, if any, must be satisfactorily addressed as specified in <br />i[ attachment A. The Purchaser may withhold payments under this contract <br /> until these conditions are satisfied. <br /> <br /> 17. Termination of the Contract for Cause. If through any cause, the Center or <br /> Purchaser fails to fnlfill in a timely and proper manner obligations under <br /> this contract, or is the Center or Purchaser violates any'of the covenants, <br /> agreements, representations or stipulations of this contract, the Purchaser <br /> or the Center shall therefore have the right to terminate this contract by <br /> giving notice to the Center or Purchaser of such termination and specifying <br /> the date thereof. In such event, all finished documents and other <br /> m materials provided by the Purchaser under this contract shall at the option <br /> of the Purchaser, become the property of the Purchaser and likewise in such <br /> event ell finished documents and other materials provided by the Center <br /> I under this contract shall et the option of the Center become the property <br /> of the Center. The Center shall be entitled to receive just and equitable <br /> compensation for any work satisfactorily performed under this contract, <br /> except to the extent such work must be duplicated in order to complete the <br /> the the Center shall be relieved <br /> Notwithstanding <br /> foregoing, <br /> of liability to the Purchaser for damages sustained by the Purchaser by <br /> virtue of any breach of this contract by the Center, and the Purchaser may <br /> m withhold payment of any additional su~s as security for damages caused by <br /> the Center's breach, until such time as the exact amount of the damages <br /> resulting from such breach is determined. <br /> m lb. Termination for Convenience. The Purchaser or Center may terminate this <br /> contract for the convenience of the Purchaser or Center at any time by <br /> giving srritten notice of such termination and specifying the date thereof, <br /> m at least fifteen (15) days before the effective date of such termination. <br /> In that event, all finished or unfinished documents and other materials <br /> produced or collected shall, at the option of the Purchaser, become the <br /> m property of the Purchaser and vice versa. If terminated either by the <br /> Purchaser or the Center, the Center will be paid $1.04 per hour for <br /> ambulatory participants and $1.09 per hour for semi-ambulatory participants <br /> m per unit for any units provided during the contract period. <br /> 19. Applicable Law.
