Termination of the Contract for Cause( If through any cause, DSS or <br /> Purchaser fails to fulfill in a timely and proper manner its Obligations <br /> under this contract, or if DSS or Purchaser violates any of the covenants~ <br /> agreements, representations or stipulations of this contract, the Purchaser <br /> or DSS shall therefore have the right to terminate this contract by giving <br /> written notice to DSS or Purchaser of such termination and specifying the <br /> date thereof. In such event, all finished docements and Other materials <br /> under this contract shall at the option of DSS become the property of DSS. <br /> DSS shall be entitled to receive just and equitable compensation for any <br /> work satisfactorily performed under this contract, except to the ~xtent such <br /> work must be duplicated in order to complete the contract. Notwithstanding <br /> the foregoini, DSS shall not be relieved of liability to the Purchaser for <br /> damages sustained by the Purchaser by virtue of any breach of this contract <br /> by DSS, and the Purchaser may withhold p.ayment of any additional sums as <br /> security for payment of damages caused by DSS~s breach, until such time as <br /> the exact amount of damages resulting from such breach is determined. <br /> <br />17. Termination for Convenience. The Purchaser or DSS may terminate this <br /> contract for the convenience of the Purchaser or DSS at any time.by giving <br /> written notice at least fifteen (15) days before the effective date of such <br /> termination. In that event, all finished or unfinished documents and other <br /> materials provided by the Purchaser produced or collected shall, at the <br /> option of the Purchaser, become the property of the Purchaser and vice <br /> versa. If terminated by either Purchaser or DSS, DSS shall be paid $5.99 <br /> per unit for any units provided during the contract period. <br /> <br />18. Appllcable Law: This contract is executed and is to be performed in the <br /> State of North Carolina, and all questions Of interpretation and <br /> construction shall be construed by the la~s of such State. <br /> <br /> <br />
