Termination of the Contract for Cause( If through any cause, DSS or Purchaser fails to fulfill in a timely and proper manner its Obligations under this contract, or if DSS or Purchaser violates any of the covenants~ agreements, representations or stipulations of this contract, the Purchaser or DSS shall therefore have the right to terminate this contract by giving written notice to DSS or Purchaser of such termination and specifying the date thereof. In such event, all finished docements and Other materials under this contract shall at the option of DSS become the property of DSS. DSS shall be entitled to receive just and equitable compensation for any work satisfactorily performed under this contract, except to the ~xtent such work must be duplicated in order to complete the contract. Notwithstanding the foregoini, DSS shall not be relieved of liability to the Purchaser for damages sustained by the Purchaser by virtue of any breach of this contract by DSS, and the Purchaser may withhold p.ayment of any additional sums as security for payment of damages caused by DSS~s breach, until such time as the exact amount of damages resulting from such breach is determined. 17. Termination for Convenience. The Purchaser or DSS may terminate this contract for the convenience of the Purchaser or DSS at any time.by giving written notice at least fifteen (15) days before the effective date of such termination. In that event, all finished or unfinished documents and other materials provided by the Purchaser produced or collected shall, at the option of the Purchaser, become the property of the Purchaser and vice versa. If terminated by either Purchaser or DSS, DSS shall be paid $5.99 per unit for any units provided during the contract period. 18. Appllcable Law: This contract is executed and is to be performed in the State of North Carolina, and all questions Of interpretation and construction shall be construed by the la~s of such State.
