Work Schedule <br /> The work program of the Carolinas Transportation Compact is on a fiscal year <br /> basis. The Carolinas Counties Coalition approved the Compact in Mid-November <br /> 1989. This contract covers the period from July 1, 1991 to June 30, 1992. <br /> <br /> i 3. Financial <br /> SPONSOR agrees to pay to CONTRACTOR the sum of $12,150 payable upon <br /> approval of conlract. <br /> I 4. Use of Names in Publici _fy <br /> <br /> I SPONSOR agrees that no advertising or publicity mailer having or containing <br /> reference to CONTRACTOR will be disseminated wilhout the prior written consent <br /> o~ CCNTRACTOR. <br /> <br /> 5. Intellectual <br /> Proo~rly <br /> <br /> Title to all inventions, discoveries, computer software or other copyrightable <br /> material or data, conceived or resulting form the pedormance of work <br /> hereunder, shall reside in CONTRACTOR. CONTRACTOR shall and does grant to <br /> SPONSOR a nonexclusive, nontransferable, royalty-free license to utilize any <br /> I such inventions, discoveries, computer software or olher copyrightable malerial <br /> or dala. <br /> <br /> 6. Warranties: Liabilily <br /> ! <br /> CONTRACTOR makes no warranties, express or implied, as to any matier <br /> whatsoever including, without limilalion, the condition of the work or any <br /> I product or deliverable, tang~le or intang~le, developed under this Agreement, <br /> or the ownership or fitness for a particular purpose of any such product or <br /> deliverable. <br /> I CONTRACTOR shall not be liable for any direct, consequential, or olher damages <br /> suffered by SPONSOR or by any third party resulting from the use of the work <br /> produced by CONTRACTOR under this Agreemenl. <br /> <br />I 7. ~ <br /> This agreement constitutes the enlire understanding between the parties. No <br /> I other terms and conditions, be they consistent, inconsislent, or additional to <br /> those contained herein, shall be binding upon CONTRACTOR, unless and until such <br /> terms and conditions have been specifically accepted in writing by both the <br />I parties. <br />! <br /> <br /> <br />
