P^GE 3 OF 6 11. Interest o£ Hembers of the Program and O~hers. No officer, member, or eml)loyee of the Program, and no public official of any local government which is affecte~l in any way hy the Program, who exercises any function or responsibilities in the review o£ the Program or any component part thereof, shall participate in any decisions relating to this contract which afects his personal interest or the interest of any corporation, partnership or a~soeiation in which he is, directly or indirectly, interested; nor shall any such permon have any interest, direct or indirect, in this contract or the proceeds arising therefrom. 12. Officials not to Benefit. No member of or delegate to the ~ongress for the United States if America, resident Commissioner or employee of the United States Government, shall be entitled to ally share or part of this contract ur any benefits to arise herefrom. 13. ~qual Employment O~J)ortunitZ. (a) The Center shall not discriminate against any employee, applicant for employment or subcontractor because of race, color. handicap, religion, age, sex, or national origin. The Center insures that applicants are employed and subcontractors (sub- contractors must be mutually approved) are selected, and that employees are treated during employment, without regard to their race, color, handicap, religion, age, sex, or national origin. Such action shall include, but'not be limited to the following: employment, upgrading, demotions, or transfers; recruitment or recruitment advertising; layoffs or terminations; rates of pay or other forms of compensation; selection for training including apprenticeship; and participation in recreational and educational activities. The Center certifies that it presently has in effect such an~ affirmative action_prqgram. The Center agrees to post in a' conspicuous plage available to employees and applicants for employment, notices setting forth tile provisions of this non-discrimination clause. The Center shall in all solicitations or advertisements for subcontractors or employees placed by or on behalf of the Center, state that the Center is an "Equal Opportunity Employer". (b) The Center shall keep sucb records and submit such reports concerning characteristics of applicants for employment and employees as the Council and the North Carolina Division of Aging may require. (c) The Center agrees to comply with such guidelines as tile Purchaser or tile North Carolina Division of Aging may issue to implement the requirements of this paragraph. (d) The Center agrees to comply with Title VI and Title VII of the Givil Rights Act abd Section 504 of the Rehabilitation Act. 14. Indemnity and Insurance. The Center agrees to indemnify and save harmless the Purchaser, its agents and employees from and against any and all loss, cost, damages, expense and liability caused by tile failure of the Center to fully perform its obligations under this agreement and in accord with its terms; or by an accident or other occurrence causing bodily injury, including death, sickness and disease to any person; or damage or destruction to property, real or personal, which may arise from operations, products or services rendered under this contract.
