P^GE 3 OF 6 <br /> <br />11. Interest o£ Hembers of the Program and O~hers. No officer, <br /> member, or eml)loyee of the Program, and no public official of <br /> any local government which is affecte~l in any way hy the Program, <br /> who exercises any function or responsibilities in the review <br /> o£ the Program or any component part thereof, shall participate <br /> in any decisions relating to this contract which afects his <br /> personal interest or the interest of any corporation, partnership <br /> or a~soeiation in which he is, directly or indirectly, interested; <br /> nor shall any such permon have any interest, direct or indirect, <br /> in this contract or the proceeds arising therefrom. <br /> <br />12. Officials not to Benefit. No member of or delegate to the <br /> ~ongress for the United States if America, resident Commissioner <br /> or employee of the United States Government, shall be entitled <br /> to ally share or part of this contract ur any benefits to arise <br /> herefrom. <br /> <br />13. ~qual Employment O~J)ortunitZ. <br /> (a) The Center shall not discriminate against any employee, <br /> applicant for employment or subcontractor because of race, color. <br /> handicap, religion, age, sex, or national origin. The Center <br /> insures that applicants are employed and subcontractors (sub- <br /> contractors must be mutually approved) are selected, and that <br /> employees are treated during employment, without regard to their <br /> race, color, handicap, religion, age, sex, or national origin. <br /> Such action shall include, but'not be limited to the following: <br /> employment, upgrading, demotions, or transfers; recruitment <br /> or recruitment advertising; layoffs or terminations; rates of <br /> pay or other forms of compensation; selection for training <br /> including apprenticeship; and participation in recreational <br /> and educational activities. The Center certifies that it <br /> presently has in effect such an~ affirmative action_prqgram. The <br /> Center agrees to post in a' conspicuous plage available to <br /> employees and applicants for employment, notices setting forth <br /> tile provisions of this non-discrimination clause. The Center <br /> shall in all solicitations or advertisements for subcontractors <br /> or employees placed by or on behalf of the Center, state that <br /> the Center is an "Equal Opportunity Employer". (b) The Center <br /> shall keep sucb records and submit such reports concerning <br /> characteristics of applicants for employment and employees as <br /> the Council and the North Carolina Division of Aging may require. <br /> (c) The Center agrees to comply with such guidelines as tile <br /> Purchaser or tile North Carolina Division of Aging may issue <br /> to implement the requirements of this paragraph. (d) The <br /> Center agrees to comply with Title VI and Title VII of the Givil <br /> Rights Act abd Section 504 of the Rehabilitation Act. <br /> <br />14. Indemnity and Insurance. The Center agrees to indemnify and <br /> save harmless the Purchaser, its agents and employees from and <br /> against any and all loss, cost, damages, expense and liability <br /> caused by tile failure of the Center to fully perform its obligations <br /> under this agreement and in accord with its terms; or by an <br /> accident or other occurrence causing bodily injury, including <br /> death, sickness and disease to any person; or damage or destruction <br /> to property, real or personal, which may arise from operations, <br /> products or services rendered under this contract. <br /> <br /> <br />
