5. Blind Quality control samples will be provided by Wolfe & Associates for the CLIENT. These quality control samples will be shipped directly to the collection sites with all appropriate paperwork and documentation provided. The collection site will then ship them to the laboratory along with other specimens collected for CLIENT. wolfe & Associates will provide results of the blind quality control samples to the CLIENT MRO for review. ARTICLE 4: PAYMENT Payment terms are net twenty (20) days after the date of any invoice of Wolfe & Associates to CLIENT. wolfe & Associates shall bill CLIENT monthly for services rendered. All invoices not paid after 30 days will accrue an interest and service Charge of one and one-half percent (1.5%) per month (18% per year) from due date to date of payment, in the case of failure of CLIENT to make timely payments, Wolfe & Associates may at its option declare this contract null and void, or Wolfe & Associates may continue to perform its obligations as per this contract and be entitled to recover all payments for services rendered according to this contract~ including interest and service charges on late payments, and also including expenses of collection and reasonable attorney's fees. ARTICLE 5: CONFIDENTIALITY Wolfe & Associates agrees that it will take reasonable steps to assure that it, or any 'of its employees, parents, subsidiaries, affiliates, or sub-contractors, will not, either during or at any · time after the term of this contract, directly or indirectly publish or disclose to any third party any information of any kind or nature acquired, derived, or in any way arising out of Wolfe & Associates' association with CLIENT, except in establishing industry averages for percentages of positive and negative results, without written authorization from CLIENT and fro~ CLIENT's individual employee or applicant for employment. These provisions continue in force beyond the expiration date of this agreement. ARTICLE 6: JURISDICTION This agreement and all acts or transactions to which it applies is governed by and construed, interpreted, and enforced in accordance with the laws of the State of North Carolina and the United States of America. Any dispute arising out of or pursuant to this agreement and the .terms and conditions herein shall be subject to the jurisdiction of a court of competent jurisdiction located in the county of Cabarrus, State of North Carolina, and Wolfe & Associates and CLIENT shall take any and all necessary or appropriate action to submit to the jurisdiction of such court.
