ARTICLE 7: INDEMNIFICATION wolfe & Associates is an independent contractor with a system of services designated to support the accuracy and reliability of the results provided by the laboratory or MRO service selected by the CLIENT in legal and administrative proceedings. 1. Wolfe & Associates agrees to indemnify CLIENT from and against any and all claims arising from its submission of data provided by Wolfe & Associates to CLIENT which is false or incorrect, whether as a result of willful, intentional, or negligent act or omission. 2. CLIENT agrees to indemnify and hold harmless Wolfe & Associates, its parents, subsidiaries, affiliates, and sub- contractors, from any loss, damage or claim brought by third parties (including CLIENT's employees or applicants ~or employment) resulting from any willful or negligent act or omission on the part of CLIENT or CLIENT's representatives. ARTICLE 8: FORCE MAJEURE In no event shall Wolfe & Associates have any responsibility or liability to CLIENT for any failure or delay in performance by the laboratory, MRO service, or collection service selected by the CLIENT which results from or is due to, directly or indirectly and in whole or in part, any cause or circumstances beyond the reasonable control of Wolfe & Associates. Such causes and circumstances shall include but are not limited to acts of God, acts of CLIENT, acts, rules or regulations or orders o~ al%y governmental authority or agency thereof (whether civil, military, executive, legislative, judicial, or otherwise), strikes or other concerted actions of workers, lockouts, or other labor disputes or disasters, accidents, wars, riots, rebellion, sabotage, insurrection,or civil disturbances, difficulties or delays in private or public transportation or postal delivery services, inability to obtain or use from Wolfe & Associates usual sources sufficient services, supplies, materials, energy, labor, machinery, facilities, equipment or transportation, or any other cause beyond wolfe & Associates' reasonable control.
