Page 6 of 7 <br /> <br /> Notwithstanding the foregoing, the Center shall not be relieved of <br /> liability to the Purchaser for damages sustained by the Purchaser by <br /> virtue of any breach of this contract by the Center and the Purchaser <br /> may withhold payment of any additional sums as security for payment <br /> of damages caused by the Agency's breach, until such time as the exact <br /> amount of the damages resulting from such breach is determined. <br /> <br />18. Termination for Convenience. The Purchaser may terminate this contract <br /> for the convenience of the Purchaser at any time by giving written <br /> notice of such termination and spctfying the date thereof, at least <br /> fifteen (15) days before the effective date of such termination. In <br /> that event, all finished or unfinished documents and other materials <br /> produced or collected shall, at the option .of the Purchaser, become <br /> the property of the Purchaser. If terminated by either Purchaser or <br /> Center, the Center will be paid $1.01 per hour for ambulatory participants <br /> and $1.06 per hour for semi-ambulatory participants per unit for any <br /> units provided during the contract period. <br /> <br />19. Applicable Law. This contract is executed and is to be performed in <br /> the State of North Carolina, and all questions of interpretation and <br /> construction shall be construed by the laws of such State. <br /> <br /> <br />
