Section 2 - Duties <br /> <br /> a. The President shall be the Executive Officer of the Council; <br /> preside at meetings of ~he F~xecutive Cc~mittee, Board of Directors, <br /> annual rm~eting; be a member (e~x~pfficio) of all cc~mitteem except the <br /> Nominating Cu~u.~ttee; and shall keep the Vice-President info_nr~d of all <br /> ac~_ivities of the corporation. The president shall present an annual <br /> report to the Eckerd of Directors and to the r~fabers, reviewing tP~ season <br /> ended and making such forecast for the year approachJ_ng as fray be reasonable. <br /> <br /> b. The Vice-President shall v.ork closely with the President and <br /> perform all duties designated, and preside over all maet~_ngs of the <br /> Executive Board and ma~f0ership of the corporation in the President's <br /> absence. <br /> <br /> c. The Secretary shall be responsible for the records of all the <br /> r~etings of the mambership, of the Board of Directors, of the Exm~cutive <br /> Committee, and of the officers of the corporation. <br /> <br /> d. The Treasurer shall cause to be kept a proper record of all <br />monies received for the corporation frcr~ all sources and keep proper <br />vouchers indicating %he amount and nature of all expenditures. The monies <br />of the corporatic~ shall be deposited in the name of the corporation, <br />~nd all payments ahall be made in its nar~. <br /> <br /> 1. The accounts of the Treasurer shall be audited by an ~n- <br />dependent certified public accountant appointed by the Board of Directors <br />at the end of each fiscal year, and at such times as are deen~d by the <br />Directors to be expedient. <br /> <br /> 2. A financial report, based on an annual audi% by an ~n- <br />dependent certified accountant, shall be made to the Board by the Treasurer <br />at least once mznually and tran~nitted by the Secretary to the <br />of the corporation. Additional monthly financial reports shall be made <br />available to mmmbers of the Board. <br /> <br /> ARTIC%.E ~. - Ccan~ttees <br /> <br /> Section 1 - Nc~inating Ccrmnittee <br /> <br /> A Nc~minating Cu,~ttee sb~ll be appointed by the President, with the <br />approval of the Board of Directors. <br /> <br /> a. The Nc~ainating C~n~nittee shall su~nit a slate of nonlh~ees for <br />President, Vice-president, Secretary, TIeasurer and Directors-at-lmrge to <br />the Board of Directors at leash thirty days prior to the annual r~=eting. <br />Upon presentation of the slate of nc~J-nees~ the floor sbmll then ~ opened <br />for any additional ncr~inations for each office. <br /> <br /> -3- <br /> <br /> <br />
