ShOuld nominations be made frc~ the floor <br /> for an office, a secret ballot shall be held ar~ the ncntinee receiving <br /> a majority of the votes shall be declared elected. <br /> <br /> Section 2 - Executive Cc~mittee <br /> <br /> 57~e ~xecutive Committee shall consist of the President, i~mediate <br /> past ~_~esident, Vice-Preside~%t, Secretary, Treasurer and up to three <br /> other additional members o~ the Boar~ of Directors, who sb~all be a~ <br /> pointed by t_he President, with approval of the Board of Directors. <br /> <br /> a. The Executive Committee sb~tl kave power to perform all of <br /> the duties ar~ functions of the Board of Directors between meetings of <br /> the Board of Directors. Any action taken by the Executive Ccr~aittee <br /> shall be subject to the Board of Directors for ratification. <br /> <br /> b. The Executive Committee shall have tine power to appoint, subject <br /> to the approval of the Board of Directors, any ~.mployees as may be <br /> necessary in t_~ir judgement for the conduct of the business of tJ]e <br /> corporation aund designate their titles an~ ccr~pensation, if any. <br /> <br /> c. The President shall fill all vacancies 'in t]~e Executive C~n- <br /> mittee, with the approval of the Board of Directors. <br /> <br /> d. ~etings of the Executive Cc~mittee may be called by the <br /> President, and/or any t~ me3nbers of the Executive Cc~mittee. <br /> <br /> Section 3 - Finance Cu,,,~[ttee <br /> <br /> The Finance Cu,,~ttee shall oversee the general financial operations <br />of the Cabarrus Arts Council, Inc. <br /> <br /> a. The Fin~}ce Cc~mittee shall undel-t~ke the responsibility for <br />fund-raising on behalf of the Cabarrus Arts C6tu~cil, Inc. <br /> <br /> b. Funds received by the Cabarrus Ar~s Cotu~cil, Inc. ma}, be dis- <br />tributed among t~x-exempt members in proportions determined by the <br />Finance Ccmnittee and approved by tJ]e Board of Directors. <br /> <br /> c. The Finance Coamittee will develop criteria for distributing <br />funds for various council activities. These criteria w~ll be revieg~d <br />and approved by the Board of Directors at the b---~ir~ng of each fiscal <br />year, ar~ ~nanded as necessa3cy. <br /> <br /> Section 4 - Special Curly,trees <br /> <br /> Such other standing or special ccmmittees as may be required to assist <br />and advise the Board of Directors may be appointed by the President or <br />elected by the Board of Directors and may include m~bers of the corporation <br />who are not Directors. <br /> <br /> -4- <br /> <br /> <br />
