This resolution shall take effect immediately <br />upon its passage. <br /> <br /> Commissioner McClary moved passage of the foregoing <br />resolution entitled: "APPROVAL IN PRINCIPLE OF AN INDUSTRIAL <br />AND MANUFACTURING PROJECT IN CABARRUS COUNTY, NORTH CAROLINA, <br />TO BE FINANCED FOR THE MARMON GROUP, INC., BY NOT EXCEEDING <br />$2,500,000 AMOUNT OF BONDS OF THE CABARRUS COUNTY INDUSTRIAL <br />FACILITIES AND POLLUTION CONTROL FINANCING AUTHORITY", <br />Commissioner Hammett seconded the motion, and the resolution <br />was passed by the following vote: <br /> <br /> Ayes: Commissioners Hawfield, McClary, Hammett, Milloway, <br />and Cook. <br /> <br /> Noes: None. <br /> <br /> Mr. John R. Boger, Jr., County Attorney, called to the <br />attention of the Commissioners the provisions of Section 159C-16 <br />of the Industrial and Pollution Financing Act which provides, <br />in part, that: <br /> <br /> "If any officer, commissioner, or employee of <br /> the Authority, or any member of the governing <br /> body of the county for which the Authority is <br /> created, shall be interested either directly <br /> or indirectly in any contract with the Authority, <br /> such interest shall be disclosed to the Authority <br /> and the county board of commissioners, and the <br /> officer, commissioner, employee or member <br /> having such interest therein shall not participate <br /> on behalf of the Authority in the authorization <br /> of any such contract or on behalf of the governing <br /> body of the county in the approval of the bonds <br /> to be issued by ~the authority to finance the <br /> project~ respectively, .......... " <br /> <br />He advised the Commissioners that he had been retained, on an <br />hourly basis, to assist Philip Morris in respect to certain <br />title questions and local matters pertaining to the property <br />on which the Philip Morris plant is proposed to be located. <br /> <br />He stated that Kennedy, Covington, Lobdell & Hickman, Charlotte, <br />North Carolina, and Messrs. Conboy, Hewitt, O'Brien & Boardman, <br />New York, New York, were representing Philip Morris generally <br />on all matters with r.espect to the location of the Plant and <br />entirely on all matters in connection with the issuance of the <br />bonds. He stated that, based on these facts, he was not of <br />the opinion that he had any interest whatsoever, directly or <br />indirectly, in the inducement agreement and related financing <br /> <br /> <br />
