477 Bo Organization, Officers, Records The Commission shall annually elect its own officers consisting of a Chairperson and Vice-Chairperson, and select persons to perform the duties of Secretary and Treasurer. The Chair shall be rotated each year among members appointed by each of the Participating Units. The Chair shall vote only in cases of ties. The Commission shall adopt rules and by-laws that will become effective when approved by the governing board of each Participating Unit. The Commission shall choose either its Park Director as Secretary, or the Director of either the Cabarrus or Rowan Park and Recreation Commission shall serve ex officio as Secretary. The Commission shall also select the finance officer of one of Participating Units to serve as Treasurer. The Commission shall hold regular bi-monthly meetings in accordance with the~Open Meetings Law. The Secretary shall keep full and accurate minutes of its meetings which shall constitute public records. The Commission shall at all times comply with provisions of law regarding open meetings, public records and privacy of personnel records. Powers and Duties (i) The Commission shall provide, maintain, manage, operate and supervise the parks and recreation facilities possessed and/or controlled by the Commission pursuant to leases, joint use agreements or otherwise. (ii) The Commission may provide, promote, administer and conduct recreation and cultural programs and services in or at parks and recreation facilities possessed and/or controlled by it under this Agreement. The Commission shall direct and administer those recreation and cultural programs and services provided at its parks and recreation facilities. (iii) The Commission shall employ a Park Director and may employ such other personnel as are necessary or desirable in fulfilling the Commission's responsibilities, within the limits of funds available to the Commission or appropriated to it by the Participating Units. (iv) The Commission may enter into interlocal cooperation, joint use or management agreements with Participating Units to the full extent permitted by law. (v) The Commission may purchase liability insurance covering such risks and in such amounts as the Commission may deem appropriate. (v~) The Commission may adopt uniform schedules of reasonable fees or charges for use of facilities controlled by it or for programs or services provided by it. Such schedules may impose like or different fees or charges for residents as opposed to non-residents of Participating Units. (vii) The Commission may solicit, apply for and accept grants, gifts, donations, contributions and bequests in support of its operations or responsibilities. Any such grant, gift, donation, contribution or bequest shall be held and used subject to the terms or conditions under which the same is made and accepted. The Commission may not accept any gift, grant, donation, or contribution of real estate without the unanimous consent of Participating Units and only as agent for said Participating Units as tenants in common. (viii) The Commission shall have power to contract and be contracted with; to sue and be sued; to acquire, purchase and hold any personal property; to acquire any interests in real estate only as provided in this Agreement; and to dispose of personal property in the manner provided for by law or disposal of county or city property. (ix) The Commission may issue orders and adopt regulations concerning the use of property under its control or the conduct of programs, services or activities on property under its control. (x) The Commission shall have no authority to enter into any contract or incur any obligation binding on any Participating Unit.
