554 <br /> <br /> The Board of Commissioners for the County of Cabarrus met in regular <br />session at the County Courthouse in Concord, North Carolina, on Monday, <br />November 3, 1986, at 9:30 A.M. <br /> Present - Commissioners: Kenneth F. Payne <br /> William G. Hamby, Jr. <br /> Archie Y. Barnhardt <br /> Marcelle M. Upright <br /> Absent - Chairman: James W. Lentz <br /> Vice-Chairman Payne presided in the absence of Chairman Lentz. <br /> The invocation was given by Reverend Eldon D. Wadsworth of First <br />Presbyterian Church in Kannapolis, North Carolina. <br /> UPON MOTION of Commissioner Upright, seconded by Commissioner Barnhardt <br />and unanimously carried, the minutes of October 20, 1986, were approved as <br />written. <br /> The Board discussed the written response from Mr. Clyde L. Propst, Jr., <br />General Manager of the Cabarrus County Agricultural Fair, regarding the <br />Board's request of October 6, 1986, for information regarding long-range <br />plans for the fair. <br /> UPON MOTION of Commissioner Barnhardt, seconded by Commissioner Hamby <br />with Commissioners Hamby, Barnhardt, and Upright voting for and Commissioner <br />Payne voting against, the Board approved the following Lease Agreement <br />between Cabarrus County and The Cabarrus County Agricultural Fair, Inc. <br /> <br />NORTH CAROLINA <br /> <br />CABARRUS COUNTY <br /> <br />LEASE AGREEMENT <br /> <br /> THIS LEASE AGREEMENT, made and executed this 3rd day of November, 1986, <br />by and between CABARRUS COUNTY, a political subdivision of the State of North <br />Carolina, (hereinafter "Lessor"), and THE CABARRUS COUNTY AGRICULTURAL FAIR, <br />INC., a North Garolina Corporation, (hereinafter "Lessee"); <br /> <br />W I T N E S S E T H -- that: <br /> <br /> For and in consideration of the mutual covenants and agreements herein- <br />after set forth, Lessor leases to Lessee and Lessee takes and leases from <br />Lessor all that real property lying within the "fence" on the 14.20 acre <br />tract described and identified in "Exhibit A" attached hereto and <br />incorporated herein by reference (hereinafter sometimes referred to as the <br />"Demised Premises"); <br /> <br /> Lessees shall have and hold the Demised Premises subject to the <br />following covenants and conditions: <br /> <br /> 1. Term. The term of this Lease shall commence on September 7, 1987, <br />and shall expire on September 30, 1987. <br /> <br /> 2. Rent/Consideration. As rental for the Demised Premises, Lessee <br />agrees as follows: <br /> <br /> (a) Lessee shall mow the Demised Premises, together with Lessee's <br />11.98 acre tract adjacent thereto, identified on "Exhibit A", at least <br />once per month during the period May - October, 1987. <br /> <br /> (b) Lessee shall keep the Demised Premises clean and in a good <br />state of repair from the date of execution hereof through September 30, <br />1987, and shall be permitted entry thereof for such purpose during all <br />of said period. <br /> <br /> 3. Use of Demised Premises. The Demised Premises are leased exclu- <br />sively for use as an agricultural fair and associated amusement activities. <br />Lessee shall comply with existing zoning, health, and other police <br />regulations and shall neither conduct nor permit to be conducted any nuisance <br />upon the Demised Premises. <br /> <br /> 4. Indemnification and Insurance. Lessee agrees to indemnify and save <br />harmless Lessor of and from any and all claims or liability to persons or <br />property caused or resulting in any manner by reason of Lessee's occupation <br />or use of the Demised Premises.
