196 <br /> <br />referred to as the "County", by and through its Emergency Services <br />Office, and the Cabarrus Rescue Squad, Inc., a non-profit <br />corporation of Cabarrus County, North Carolina, hereinafter referred <br />to as "Rescue Squad"; <br /> W I T N E S S E T H: that <br /> WHEREAS, County, through the Cabarrus County Ambulance <br />Service, administered by County's Emergency Services Department, <br />operates an ambulance service, and Rescue Squad operates a volunteer <br />rescue organization which provides ambulance and rescue service in <br />addition to and as a supplement for the regular ambulance service <br />of County; and <br /> WHEREAS, County is authorized to make contributions to Rescue <br />Squad under the provision of G.S. 153A-445, and to operate an <br />ambulance under the provisions of G.S. 153A-250; and <br /> WHEREAS, County and Rescue Squad desire to enter into a <br />contract whereby Rescue Squad will provide ambulance and rescue <br />services in Cabarrus County in addition to the regular ambulance <br />service of County; and <br /> WHEREAS, Rescue Squad desires to secure the continued <br />financial support of County for a portion of its costs incurred in <br />providing rescue and ambulance services, and in the interests and <br />welfare of its citizens, County desires to provide financial support <br />for a portion of the costs incurred by Rescue Squad in its provision <br />of ambulance and rescue services; and <br /> WHEREAS, County has appropriated the sum of $20,000.00 for <br />this purpose for the period July 1, 1989 - June 30, 1990. <br /> NOW, THEREFORE, in consideration of the premises, County and <br />Rescue Squad do mutually agree to the following terms and <br />conditions: <br /> 1. This contract shall begin July 1, 1989, and shall exist <br />through June 30, 1990. <br /> 2. Rescue Squad shall provide voluntary rescue and <br />ambulance service in addition to the ambulance service provided by <br />the Cabarrus County Ambulance Services when dispatched by the <br />Cabarrus County Communications Center and/or the Cabarrus County <br />Ambulance Service. Rescue Squad further agrees that response for <br />backup for the Cabarrus County Ambulance Services shall be assumed <br />by providing a monthly twenty-four hour per day standby roster. <br /> 3. Rescue Squad shall provide mutual aid to other rescue <br />squads and/or fire departments in and for Cabarrus County as <br />required. <br /> 4. County shall allocate and pay to Rescue Squad eleven <br />(1'1) monthly payments of $1,666.66 and one (1) monthly payment of <br />$1,666.74, with each monthly payment to be made on or about the last <br />day of each month, commencing with July, 1989. <br /> 5. Rescue Squad shall use the funds paid to it by County <br />for rescue and ambulance service work. At the end of its fiscal <br />year, Rescue Squad shall undergo an audit of its operations <br />conducted by a certified public accountant, and shall submit a copy <br />of the report of this audit to County within ninety (90) days of the <br />conclusion of its established fiscal year. In addition, for <br />succeeding fiscal year of County for which Rescue Squad seeks a <br />continuing appropriation of County, by no later than March 15, <br />Rescue Squad shall submit to County its proposed budget for County's <br />next ensuing fiscal year. <br /> 6. Rescue Squad agrees to hold County harmless from any and <br />all liability, damages or claims, including attorney's fees, that <br />might be asserted or suffered by County as a result of any act or <br />omission of any of Rescue Squad's officers, employees, agency or <br />representatives arising out of services performed pursuant to this <br />contract. <br /> 7. This Contract may be terminated by either party upon <br /> thirty (30) days' prior written notice to the other party, and may <br /> be renewed and continued in full force and effect for each <br /> successive fiscal year in which County makes an appropriation to <br /> Rescue Squad in its annual budget. Failure of County to make an <br /> appropriation to Rescue Squad in its annual budget shall be evidence <br /> that this Contract has not been renewed. <br /> <br /> <br />
