RESOLVED FURTHER, than an authorized officer or representative of this organization shall, furnish said Bank a certified copy of these Resolutions and the Bank is hereby authorized to deal with the above named or described persons, officers, representatives, and/or employees under the authority of these Resolutions, unless and until it shall be expressly notified in writing to the contrary by this organization. 5. RESOLVED FURTHER, than an authorized officer or representatives of this organization shall, from time to time hereafter I as changes in the personnel of said offices, positions, officers, representatives, and/or employees, of this organization named or described in the foregoing Resolutions made immediately certify such changes to said Bank. Said Bank shall be fully protected in relying upon such certifications resulting from, or growing out of, honoring the signature of any officer (s), representative (s), agent (s), or employee (s) so certified, or refusing to honor any signature not so certified which is not described or stated in the foregoing Resolutions. 6. RESOLVED FURTHER, that the above designated authorized party of this organization is authorized and directed to certify to said Bank that the foregoing Resolutions were duly adopted and that the provisions thereof are in full conformity with the Charter and By-Laws of the organization. 7. RESOLVED FURTHER, that all transactions by any officers, representatives, employees or agents of this organization, on its behalf and in its name with the Bank prior to the delivery of a certified copy of the foregoing Resolutions, are, in all respects, hereby ratified, confirmed, and adopted, nunc pro tunc. 8. RESOLVED FURTHER, said Bank shall at all times be protected in recognizing as an authorized representative or agent coming within the purview of these Resolutions any person named in a letter, form or other written or oral notice by any officer or other representative of this organization identified or described above. 9. RESOLVED FURTHER, this organization certifies to the Bank that should the organization open or convert an existing account to an interest bearing account of any kind with the Bank, the organization is and shall be eligible under the Regulation D of the Federal Reserve Board to maintain an account that earns interest. {Note: An identical resolution (Resolution No. 2005-19b) was also adopted for the second Wachovia account.] (F-18) planning Adoption Amended Memorandum of Understanding (MOU) for Transportation for the Cabarrus-Rowan Metropolitan planning Organization (MPO) and of Resolution Authorizing Execution of the MOU The Cabarrus-Rowan MPO Transportation Advisory Committee voted unanimously to add the Towns of Midland and Faith to the MPO. The Memorandum of Understanding must be updated to add these two towns. UPON MOTION of Commissioner Privette, seconded by Vice Chairman Carruth and unanimously carried, the Board approved the amended Memorandum of Understanding (MOU) for Transportation Planning for the Cabarrus-Rowan Metropolitan organization (MPO) and adopted the following Resolution authorizing execution of the MOU: Resolution No. 2005-20 RESOLUTION PASSED BY THE BOARD OF COMMISSIONERS OF THE COUNTY OF CABARRUS, NORTH CAROLINA The following resolution was offered by Commissioner Privette and seconded by Vice Chairman Carruth and upon being put to a vote was carried unanimously on the 14th day of July, 2005:
