RESOLVED FURTHER, than an authorized officer or representative of this <br />organization shall, furnish said Bank a certified copy of these <br />Resolutions and the Bank is hereby authorized to deal with the above <br />named or described persons, officers, representatives, and/or employees <br />under the authority of these Resolutions, unless and until it shall be <br />expressly notified in writing to the contrary by this organization. <br /> <br />5. RESOLVED FURTHER, than an authorized officer or representatives of this <br />organization shall, from time to time hereafter I as changes in the <br />personnel of said offices, positions, officers, representatives, and/or <br />employees, of this organization named or described in the foregoing <br />Resolutions made immediately certify such changes to said Bank. Said <br />Bank shall be fully protected in relying upon such certifications <br />resulting from, or growing out of, honoring the signature of any <br />officer (s), representative (s), agent (s), or employee (s) so certified, <br />or refusing to honor any signature not so certified which is not <br />described or stated in the foregoing Resolutions. <br /> <br />6. RESOLVED FURTHER, that the above designated authorized party of this <br />organization is authorized and directed to certify to said Bank that <br />the foregoing Resolutions were duly adopted and that the provisions <br />thereof are in full conformity with the Charter and By-Laws of the <br />organization. <br /> <br />7. RESOLVED FURTHER, that all transactions by any officers, <br />representatives, employees or agents of this organization, on its <br />behalf and in its name with the Bank prior to the delivery of a <br />certified copy of the foregoing Resolutions, are, in all respects, <br />hereby ratified, confirmed, and adopted, nunc pro tunc. <br /> <br />8. RESOLVED FURTHER, said Bank shall at all times be protected in <br />recognizing as an authorized representative or agent coming within the <br />purview of these Resolutions any person named in a letter, form or <br />other written or oral notice by any officer or other representative of <br />this organization identified or described above. <br /> <br />9. RESOLVED FURTHER, this organization certifies to the Bank that should <br />the organization open or convert an existing account to an interest <br />bearing account of any kind with the Bank, the organization is and <br />shall be eligible under the Regulation D of the Federal Reserve Board <br />to maintain an account that earns interest. <br /> <br />{Note: An identical resolution (Resolution No. 2005-19b) was also adopted <br />for the second Wachovia account.] <br /> <br />(F-18) <br />planning <br />Adoption <br /> <br />Amended Memorandum of Understanding (MOU) for Transportation <br />for the Cabarrus-Rowan Metropolitan planning Organization (MPO) and <br />of Resolution Authorizing Execution of the MOU <br /> <br />The Cabarrus-Rowan MPO Transportation Advisory Committee voted <br />unanimously to add the Towns of Midland and Faith to the MPO. The Memorandum <br />of Understanding must be updated to add these two towns. <br /> <br />UPON MOTION of Commissioner Privette, seconded by Vice Chairman Carruth <br />and unanimously carried, the Board approved the amended Memorandum of <br />Understanding (MOU) for Transportation Planning for the Cabarrus-Rowan <br />Metropolitan organization (MPO) and adopted the following Resolution <br />authorizing execution of the MOU: <br /> <br />Resolution No. 2005-20 <br /> <br />RESOLUTION PASSED BY THE BOARD OF COMMISSIONERS <br />OF THE COUNTY OF CABARRUS, NORTH CAROLINA <br /> <br />The following resolution was offered by Commissioner Privette and seconded by <br />Vice Chairman Carruth and upon being put to a vote was carried unanimously on <br />the 14th day of July, 2005: <br />
