458 <br /> <br />cancellation or material change in a policy <br />affecting the certificate holder, thirty (30) <br />days prior written notice will be given the <br />certificate holder." <br /> <br />The certificates shall also name the County as an additional insured to <br />the extent of the negligence or misconduct of BFI. <br /> <br />For the purpose of this Agreement, BFI shall carry the following types of <br />insurance in at least the limits specified below: <br /> <br />Coverages Limits of Liability <br />Workmen's Compensation Statutory <br />General Liability $2,500,000 each occurrence <br />Automobile Bodily Injury and <br /> and Property Damage Liability $5,000,000 each occurrence <br />Excess Umbrella Liability $5,000,000 each occurrence <br /> <br /> As an alternative to the above, BFI may insure the above public <br />liability and property coverages under a plan of self-insurance. The <br />coverages may be provided by BFI's parent corporation. <br /> <br />10. <br /> <br />11. <br /> <br />6.3 Performance Bond <br />6.3.1 BFI will be required to furnish a corporate surety bond as security <br /> for the performance of this Agreement. Said surety bond must be in <br /> the amount of TWENTY THOUSAND DOLLARS ($20,000). <br />6.3.2 Premium for the bond described above shall be paid by BFI. A <br /> certificate from the surety showing that the bond premiums are paid <br /> in full shall accompany the bond. <br />6.3.3 The surety on the bond shall be a duly authorized corporate surety <br /> company authorized to do business in the State of North Carolina. <br />6.3.4 Attorneys-in-fact who sign performance bonds or contract bonds must <br /> file with each bond a certified and effectively dated copy of their <br /> power of attorney. <br />6.3.5 The CountyVs sole remedy for breach of contract under this Agreement <br /> or failure to perform shall be to make demand under the terms of the <br /> Performance Bond. <br />Compliance with Law. <br />BFI shall conduct operations under this Agreement in compliance with all <br />applicable laws, including the Ordinance, provided that the County shall <br />take no action to amend the Ordinance so as to adversely affect BFI's <br />rights and obligations. <br />Nondiscrimination <br />BFI shall not discriminate against any person because of race, sex, age, <br />disability, creed, color, religion or national origin. <br />Licenses and Taxes <br />BFI shall obtain all licenses and permits (other than the license and <br />permit granted by the Agreement) and promptly pay all taxes required by <br />the County and by the State of North Carolina. <br />Assignment. <br />Except as provided in Paragraph 5.2(a) hereof, the rights under this <br />Agreement cannot be sold, transferred, leased or assigned or disposed of <br />in whole or in part, either by forced involuntary sale, or~ by voluntary <br />sale, merger, consolidation, or otherwise, without the prior consent of <br />the County expressed by resolution, and then only under such conditions as <br />may therein be prescribed. If a successor in interest is approved by the <br />Board, such successor shall comply with the requirements of this Agreement <br />with respect to insurance. This subsection shall not apply to a transfer <br />in trust, mortgage or other hypothecation to secure an indebtedness. <br />Publicity, <br />BFI may produce and distribute brochures, stickers, advertisements, and <br />other materials to County residents, specifying acceptable and <br />unacceptable materials for Refuse collection. BFI also has the right to <br />set its own collection routes and schedules, which, once established, will <br />not be altered without the CountyVs consent, except as described below. <br />BFI shall publicize to the County's residents its fee schedule and its <br />policy concerning scheduling in the event a BFI holiday falls on a <br />previously scheduled collection rate. <br /> <br /> <br />
