231 <br /> <br />utilize the facility as set forth hereafter and as may be further <br />agreed by Concord and the County. For that reason, Concord and the <br />County shall join in an operating agreement for the use of the <br />facility that shall take into account the prorated use of the <br />facility and set a cost-sharing formula for the payment of expenses <br />between the parties. The operating agreement shall extend for a <br />minimum of twenty years, and shall be renewable. For whatever <br />reason, if Concord and the County do not formally enter into an <br />operating agreement, it shall be presumed that the expenses of <br />maintaining the facility shall be initially prorated according to <br />the presently proposed uses, approximately 80% paid by Concord, 20% <br />by the County, and adjusted by agreement of Concord and the County <br />as future uses may dictate. <br /> 10. Construction of Dormitory. Concord and the County shall <br />jointly construct on the Pitts VFD site a dormitory for housing <br />appropriate fire and emergency services employees, with the cost of <br />the initial construction prorated (80% paid by Concord, 20% paid by <br />the County (not to exceed $40,000.00 contribution by the County), <br />according to their presently proposed uses) between the parties. <br />Concord and the County shall jointly use the buildings on site for <br />Concord fire protection service and County emergency medical <br />service. Concord may also use the site as a law enforcement <br />substation. <br /> 11. First Responder. Concord will join the County's First <br />Responder program, or any similar successor operation, for providing <br />initial medical stabilization during emergencies. <br /> 12. Specific Communications Equipment. The pagers and <br />walkie-talkie equipment of the Pitts VFD will be given as a <br />contribution to the Northeast VFD. Other specific items of <br />communication equipment may also be contributed by Pitts VFD to <br />Northeast or other volunteer fire departments within Cabarrus <br />County. <br /> 13. Odell VFD Equipment. The remaining communication <br />equipment shall be given as a contribution to the Odell VFD, <br />provided Odell VFD shall contract with the County to provide fire <br />protection services in the unincorporated sections of the Pitts VFD <br />fire tax district which are north of Interstate 85. <br /> 14. Kitchen Equipment. The kitchen equipment, tables and <br />chairs will not be transferred under the terms of this agreement, <br />but will be donated or sold according to the wishes of the present <br />Board of Directors of Pitts VFD. <br /> 15. Cash and Accounts. Pitts VFD has cash and accounts of <br />value. To the extent that the value of such cash and accounts are <br />sufficient, the portion of cash and accounts which is equal to the <br />tax revenue for a single year for the unincorporated sections of the <br />Pitts VFD fire tax district which are north of Interstate 85 shall <br />be contributed to another VFD or appropriate fire protection <br />service, provided such other VFD or fire protection service shall <br />contract with the County to provide fire protection service in the <br />unincorporated sections of the Pitts VFD fire tax district which are <br />north of Interstate 85. Any remaining value of cash and accounts, <br />after payment of monthly bills and such ordinary and extraordinary <br />expenses permitted by law and authorized by the Pitts VFD Board of <br />Directors, shall be contributed to Concord and the County jointly <br />for the construction of the dormitory facility contemplated in this <br />Agreement. <br /> 16. Pitts Fire Tax. Upon execution of this Agreement by the <br />parties herein, the County and Pitts VFD shall promptly cease to <br />levy a fire district tax on the area of the Pitts VFD fire tax <br />district. ThoSe portions of the present Pitts VFD fire tax district <br />which are in unincorporated areas north of Interstate 85 may be <br />subject to a future fire tax district tax at such time as those <br />areas become a part of another VFD fire tax district. <br /> 17. Outstanding Debt. Concord shall assume the outstanding <br />debt of Pitts VFD. If for any reason, Concord is unable to assume <br />the outstanding debt of Pitts VFD, then Concord shall agree to pay <br />off such debt or reschedule it in such a way that Pitts VFD shall <br />no longer be obligated on the debt or any portion of it. <br /> 18. Standing to Enforce Agreement. Because it is <br />contemplated that Pitts VFD shall not exist as an entity long after <br /> <br /> <br />
