314 WITNESSETH For the purpose and subject to the terms and conditions hereinafter set forth, the County hereby contracts for the services of the Provider: and the Provider agrees to provide the services to the County in accordance with the terms of this agreement, and in accordance with G.S. 105-299 and Article 20 of Chapter 160A of the General Statutes of North Carolina. I. The services to be performed by the Provider shall be as follows: The Provider's Tax Assessor and/or members of the Tax Assessor's staff shall perform and assist in the conduction of an audit or audits of property tax accounts of the County as agreed upon by the Tax Assessors of the respective parties to this agreement, such auditing services to be provided to assist the County's Tax Assessor in the performance of his statutory duties. II. The services of the Provider shall begin on an agreed date by the Assessors, and unless sooner terminated by mutual consent or as hereinafter provided, shall be provided and continue until completed; provided that either party shall have the right to terminate this agreement for services upon thirty (30) days notice in writing to the other party. III. As full compensation for the Provider's services, the County agrees to pay the Provider the sums set forth below, payable in installments as follows, upon receipt by the County of proper documentation that the services have been provided and expenses incurred (or to be advanced) in accordance with this agreement: (1) One dollar ($1.00) and other valuable consideration. (2) Actual travel expenses of the Provider outside of Forsyth County, including the Provider's reimbursable mileage rate, meals, lodging and other expenses. (3) Any other expenses the Provider may incur as a result of performing the services, as invoiced or billed by the Provider to the County. IV. The County agrees to hold the Provider harmless from and against any and all claims or expenses, including attorney fees, made or loss, claim, damage or liability incurred by the Provider or to which the Provider may become subject or which may be claimed by any person or entity as a result of this agreement or the services rendered by the Provider. UPON MOTION of Chairman Simmons, seconded by Commissioner Hamby with Chairman Simmons and Commissioners Hamby, Barnhart and Carpenter voting for, the executive session was terminated.
