472 <br /> <br /> 4. FARMERS MARKET shall use the funds paid to it by COUNTY for operation <br />and maintenance of the Piedmont Farmers Market site. At the end of its fiscal <br />year, FARMERS MARKET shall undergo an audit of its operations conducted by a <br />certified public accountant, and shall submit a copy of the report of this audit <br />to COUNTY within ninety (90) days of the conclusion of its established fiscal <br />year. In addition, for COUNTY'S 1991-92 fiscal year and for each succeeding <br />fiscal year of COUNTY for which FARMERS MARKET seeks a continuing appropriation <br />from COUNTY, by no later than March 15, FARMERS MARKET shall submit to COUNTY <br />its proposed budget for COUNTY'S next ensuing fiscal year. <br /> 6. FARMERS MARKET agrees to hold COUNTY harmless from any and all <br />liability, damages or claims, including attorney's fees, that might be asserted <br />or suffered by COUNTY as a result of any act or omission of any of FARMERS <br />MARKET's officers, employees, agents or representatives arising out of services <br />performed pursuant to this contract. <br /> 7. This Contract may be terminated by either party upon thirty (30) days' <br />prior written notice to the other party, and may be renewed and continued in <br />full force and effect for each successive fiscal year in which COUNTY makes an <br />appropriation to FARMERS MARKET in its annual budget. Failure of COUNTY to make <br />an appropriation to FARMERS MARKET in its annual budget shall be evidence that <br />this Contract has not been renewed. <br /> IN TESTIMONY WHEREOF, the parties have caused this agreement to be duly <br />executed by their authorized officers pursuant to resolutions adopted in <br />accordance with law. <br /> CABARRUS COUNTY <br /> By: <br /> Chairman of the Board <br />ATTEST: of County Commissioners <br /> <br />ATTEST: <br /> <br />Clerk <br /> <br />PIEDMONT FARMERS MARKET, INC. <br />By: <br /> <br />President <br /> <br />Secretary <br /> <br /> This instrument has been pre-audited in the manner required by the Local <br />Government Budget and Fiscal Control Act. <br /> By: <br /> County Finance Officer <br />Date: <br /> <br /> UPON MOTION of Commissioner Hamby, seconded by Chairman Lentz and <br />unanimously carried, the Board approved the following contract between Gabarrus <br />County and the Cabarrus Animal Protection Association, Inc., and authorized the <br />Chairman to execute the contract on behalf of Cabarrus County. <br /> <br />NORTH CAROLINA <br /> <br />CABARRUS COUNTY <br /> <br />CONTRACT <br /> <br /> THIS CONTRACT, made and entered into as of the 1st day of July, 1990, by <br />and between CABARRUS COUNTY, a body politic and political subdivision of the <br />State of North Carolina, hereinafter referred to as the "COUNTY", by and through <br />its Board of Commissioners, and the CABARRUSANIMAL PROTECTION ASSOCIATION, Inc., <br />hereinafter referred to as "ANIMAL PROTECTION", a non-profit corporation of <br />Cabarrus County, North Carolina. <br /> W I T N E S S E T H: that - <br /> WHEREAS, ANIMAL PROTECTION is a non-profit corporation located in Cabarrus <br />County, North Carolina, the purpose of which is among other things, to aide in <br />the prevention of cruelty to animals; and <br /> WHEREAS, COUNTY is authorized to make contributions to ANIMAL PROTECTION <br />under the provisions of G.S. 153A-247, 153A-274, Chapter 130 of the General <br />Statutes, and otherwise pursuant to its police power; and <br /> WHEREAS, COUNTY and ANIMAL PROTECTION desire to enter into a contract <br />whereby ANIMAL PROTECTION will initiate and implement programs consistent with <br />its purposes hereinbefore set forth; and <br /> WHEREAS, ANIMAL PROTECTION desires to obtain the financial support of <br />COUNTY for a portion of its costs incurred in preventing cruelty to animals and, <br />in the interest and welfare of its citizens, COUNTY desires to provide financial <br /> <br /> <br />
