257 <br /> <br /> The Board of Commissioners for the County of Cabarrus met in regular <br />session in the Commissioners' Meeting Room at the Cabarrus County Governmental <br />Center in Concord, North Carolina, on Monday, November 21, 1994, at 6:30 P.M, <br /> <br />Present - Chairman: Jeffrey L. Barnhart <br /> Vice-Chairman: Carolyn B. Carpenter <br /> Commissioners: Arne L. Fennel <br /> Kenneth F. Payne <br />Absent - Commissioner: Sue B. Casper <br /> <br /> Also present were Mr. John V. Witherspoon, County Manager; Mr. Fletcher L. <br />Hartsell, Jr., County Attorney; and Mrs. Frankie F. Bonds, Clerk to the Board. <br /> <br />Chairman Barnhart called the meeting to order at 6:30 P.M. <br /> <br /> The Presentation of Colors was conducted by Girl Scout Troop 83 of the <br />Friendship United Methodist Church. Scouts participating were Whitney Rinehardt, <br />Amber Furr and Kim Fulmer. <br /> <br /> The invocation was given by Pastor Larry E. Irvin, Sr., of the Church of <br />the Living Word. <br /> <br />Approval of Minutes <br /> <br /> UPON MOTION of Commissioner Fennel, seconded by Commissioner Carpenter and <br />unanimously carried, the minutes of October 24 and November 7, 1994 were approved <br />as written. <br /> <br />NEW BUSINESS <br /> <br />Resolution Authorizing the Name Change from Vision Cable of North Carolina, Inc. <br />to Time Warner Entertainment Advance/Newhouse Partnership for the Cable <br />Franchise for Cabarrus County <br /> <br /> Mr. Robert M. Melton, Jr., General Manager of Vision Cable of Metrolina, <br />briefly reviewed the request to transfer the cable television franchise from <br />Vision Cable to the newly formed Time Warner Entertainment - Advance/Newhouse <br />Partnership. <br /> <br /> UPON MOTION of Commissioner Fennel, seconded by Chairman Barnhart and <br />unanimously carried, the Board adopted the following resolution. <br /> <br /> RESOLUTION <br /> WHEREAS, VISION CABLE OF NORTH CAROLINA, INC. ("Vision Cable") <br />is the holder of a franchise (the "Franchise") to provide cable <br />television service for Cabarrus County; and <br /> WHEREAS, the parent company of Vision Cable, Advance <br />Publications, Inc., its affiliate Newhouse Broadcasting Corporation, <br />and Time Warner Entertainment Company, L.P. have created a new joint <br />venture cable operation called Time Warner Entertainment <br />Advance/Newhouse Partnership; and <br /> WHEREAS, the Time Warner Entertainment - Advance/Newhouse <br />Partnership will be bound by the terms and conditions of the <br />Franchise subject to applicable law; <br /> NOW, THEREFORE, be it resolved that, the transfer of the <br />Franchise and the cable television system operating pursuant to the <br />Franchise from the franchisee to Time Warner Entertainment - <br />Advance/Newhouse Partnership (directly or indirectly), or <br />subsequently to a partner thereof, is hereby authorized and <br />consented to in all respects. <br /> Passed this 21st day of November, 1994. <br /> <br />ATTEST: <br /> /s/ Frankie F.
