ini''rado~ AND AUTOMATIC LOCATION INFORMATION STATEMENT OF WORK FOR CABARRUS COUNTY SHERIFFS OFFICE notice terminate this SOW and the Agreement without further liability for any fees, expenses or other payments of any nature whatsoever. 2.2 Exclusivity and Competition During the Initial Term or any Renewal Term hereof, Intrado will have the exclusive right to provide the A9-1-1 Routing and ALI Management services to Customer. Nothing herein will prohibit Intrado from providing services similar or identical to the A9-1-1 Routing or ALI Management services to any other entity or person, whether or not such services are utilized for emergency purposes. During the term of this SOW, Customer agrees that it will not compete with Intrado in the marketing or sales of services similar or identical to the A9-1-1 Routing or ALI Management services provided hereunder. Customer's purchase of the A9-1-1 Routing requires purchase of Intrado's ALI Management services. 2.3 Authorization Customer agrees to designate Intrado as its limited agent to work directly with Telephone Service Providers ("TSPs") on Customer's behalf to establish the required interconnections between Intrado, Customer, and/or the TSPs and to take any other actions reasonably required to provide A9-1-1 Routing and ALI Management services. Customer will sign a Letter of Authorization ("LOA"), attached hereto as Appendix D and incorporated herein by this reference, for such purpose. The Parties understand and acknowledge that should Customer fail to provide Intrado with an Authorization, A9-1-1 Routing, in whole or part, may not be able to be provided as described in this SOW or at all. 3. SERVICE DESCRIPTION 3.1 A9-1-1 Routing Intrado's A9-1-1 Routing is a specialized managed network for processing 9-1-1 calls from both traditional and non-traditional voice networks. A9-1-1 Routing provides traditional selective routing functionality and IP-enabled interface alternatives. A9-1-1 Routing is a service for the routing and delivery of 9-1-1 calls from end office, central office, mobile switching center, and/or VoIP system (hereafter collectively referred to as "End Office") to Customer's designated PSAPs over a private IP network, rather than routing such calls through the ILEC's selective router. A9-1-1 Routing includes delivery of ANI. Regulated services will be provisioned upon completion of the Intrado Communications Inc. Service Order Request Form (see Appendix E). Intrado will provide the following services as defined in the A9-1-1 Services Guide (see Appendix D) and comply with applicable tariff. 3.2 ALI Management The ALI Management services covered under this SOW will provide the Customer with a complete solution for 9-1-1 data management, including an agent and single point of contact for the provisioning and delivery of E9-1-1 services. ALI Management services include receiving Service Order Input (SOI) records from the TSPs, systematically validating such records against the Master Street Address Guide (MSAG), correcting records that are not MSAG valid as provided in this SOW, and updating the valid SOI records to the ALI E9-1-1 database.
