Page 3 of 6 The Center agrees to meet with the Purchaser one time per quarter (or more frequently, if requested) to evaluate respite service program operation and quality of service. Meetings shall be scheduled at the convenience of the Purchaser and the Center. All units of service shall meet the required minimum service standards as adopted and implemented by the North Carolina Division of Aging. 10. The Center shall furnish the l~rchaser with a monthly program report which includes date and time of service beginning and end and a request for payment of units of service delivered. Such reports shall be furnished within three (3) working days after the end of each month. Request for payment must be itemized into units of service. 11. Interest of the Center: The Center covenants that neither the Center nor its agents or employees presently has an interest nor shall acquire an interest, direct or indirect, which conflicts in any manner or degree with the performance of its service hereunder, or which would prevent, or tend to prevent, the satisfactory performanceof the Center's service hereunder in an impartial and unbiased manner. The Center further covenants that in the performance of this contract no person having any such interest shall be employed by the Center as an agent, subcontractor or otherwise. 12. Interest of Members of the Program and Others. No officer, member or employee of the Program, and no public official of any local government which is affected in any way by the Program, who exercises any function or responsibilities in the review or approval of the Program or any component part thereof, shall participate in any decisions relating to this contract which affects his personal interest or the interest of any corporation, partnership or association in which he is, directly or indirectly interested; nor shall any ~uch person have any interest, direct or indirect in this contract or the proceeds arising therefrom. 13. Officials Not to Benefit. No member of or delegate to the Congress for the United States of America, resident comissioner or employees of the United States Goverzment, shall be e:~titled to any share or part of this contract or any benefits to arise herefrom. 14. Equal Employmeqt Opportunity. (a) Yhe Center shall not discriminate against any employee applicant for employment or subcontractor because of race, color, handicap, religion, age, sex or national origin. The Center shall take affirmative action to insure that applicants are employed and subcontractors (subcontractors must Be mutually approved) are selected, end that employees are treated equally during employment, without regard to their race, color, handicap, religion, age, sex or national origin. Such action shall include, but not ba limited to the following: employment, upgrading, demotions or transfers; recruitment advertisinsl layoffs or terminations; rates of pay or other forms of compensation; selection for training including apprenticeship; and participation in recreational and educational activities.
