Workers Compensation and Occupational Disease Insurance meeting the statutory requirements of the State of North Carolina and employers' liability insurance for an amount of not less than ~100,000. If the Center, with the permission of the Purchaser, subcontracts any o~ the work or services under this contract, then the Center shall require the subcontractor to carry the appropriate insurance and to save harmless the Center and ~he Purchaser. Assurance statements shall be furnished by the Center reflecting such coverage prior to any payment of funds under this contract and shall contain the provision that the Purchaser be given thirty (30) flays Mitten notice of any intent to amend or terminate such policies by either the Center or the insuring company. - 15. Chan~es. The Purchaser may require changes in the work end services which the Center is to perfoz-m hereunder. Such changes, including any increase or decrease in the amount of the Center's compensation, which are mutually agreed upon by and between the Purchaser and the Center, shall be incorporated in written amendments to this contract. Conditions of this contract, if any, must be satisfactorily addressed. The Purchaser may withhold payments under this contract until these conditions are satisfied. 16. Termination of the Contract for Cause. If through any cause, the Center or Purchaser fails to fulfill in a timely and proper manner its oh]Jcarions under this contract, or if the Center or Purchaser violates any of the covenants, agreements, representations or stipulations of this contract, the Purchaser or the Center shall therefore have the right to terminate this co~tract by giving notice to the Center or Purchaser of such termination and specifying the date thereof. In such event, all finished documents and other materials provided by the Purchaser under this contract shall at the option of the Purchaser, become the property of the Purchaser and likewise in such event all finished documents and other ~aterials under this contract shall at the option of the Center become the property of the Center. The Center shall be entitle to receive just and equitable compensation for any ~ork satisfactorily performed under this contract~ except to the extent such work ~ust be duplicated in order to complete the contract. ~otwithstanding the foregoing, the Center shall not be relieved of liability to the Purchaser for damages sustained by the Purchaser by virtue of any breach of this contract by the Center, and the Purchaser may withhold payment of any additional sumz as security for payment of damages caused by the Center's breach, until such time as the exact amount of the damages resulting from such breach is determined.
