m <br /> <br /> PAGE 5 OF 6 <br /> <br /> $2~0,000 property damage liability each occurrence/aggregate. <br /> Workers Compensation and Occupational Disease Insurance meeting the <br /> statutory requirements of the State of North Carolina and employers' <br /> liability insurance for an amount of not less than ~100,000. If the <br /> Center, with the permission of the Purchaser, subcontracts any o~ <br /> the work or services under this contract, then the Center shall <br /> require the subcontractor to carry the appropriate insurance and to <br /> save harmless the Center and ~he Purchaser. <br /> <br /> Assurance statements shall be furnished by the Center reflecting such <br /> coverage prior to any payment of funds under this contract and shall <br /> contain the provision that the Purchaser be given thirty (30) flays <br /> Mitten notice of any intent to amend or terminate such policies by <br /> either the Center or the insuring company. - <br /> <br />15. Chan~es. The Purchaser may require changes in the work end services <br /> which the Center is to perfoz-m hereunder. Such changes, including <br /> any increase or decrease in the amount of the Center's compensation, <br /> which are mutually agreed upon by and between the Purchaser and the <br /> Center, shall be incorporated in written amendments to this contract. <br /> Conditions of this contract, if any, must be satisfactorily <br /> addressed. The Purchaser may withhold payments under this contract <br /> until these conditions are satisfied. <br /> <br />16. Termination of the Contract for Cause. If through any cause, the <br /> Center or Purchaser fails to fulfill in a timely and proper manner <br /> its oh]Jcarions under this contract, or if the Center or Purchaser <br /> violates any of the covenants, agreements, representations or <br /> stipulations of this contract, the Purchaser or the Center shall <br /> therefore have the right to terminate this co~tract by giving notice <br /> to the Center or Purchaser of such termination and specifying the <br /> date thereof. In such event, all finished documents and other <br /> materials provided by the Purchaser under this contract shall at the <br /> option of the Purchaser, become the property of the Purchaser and <br /> likewise in such event all finished documents and other ~aterials <br /> under this contract shall at the option of the Center become the <br /> property of the Center. The Center shall be entitle to receive <br /> just and equitable compensation for any ~ork satisfactorily <br /> performed under this contract~ except to the extent such work ~ust be <br /> duplicated in order to complete the contract. ~otwithstanding <br /> the foregoing, the Center shall not be relieved of liability to the <br /> Purchaser for damages sustained by the Purchaser by virtue of any <br /> breach of this contract by the Center, and the Purchaser may <br /> withhold payment of any additional sumz as security for payment of <br /> damages caused by the Center's breach, until such time as the exact <br /> amount of the damages resulting from such breach is determined. <br /> <br /> <br />
