(a) The Center shall not discriminate against any employee, applicant for employment or subcontractor because of rac~, color, handicap, religion, age, sex;' or national origin. The Center .take affirmative action to insure that applicants are employed' and subcontractors (subcontractors must be mutually approved) are selected, and that employees are treated ~during employment, without regard to their race, color, handicap, religion, age, sex, or '.' national origin. Such action shall include, hut not be limited to the following: employment, upgrading, demotions, or transfers; ' recruitment or recruitment advertising; layoffs or terminations; rates of pay or other forms of compensation; selection for trainlng including apprenticeship; and partic~patl0n in recreational and educational activities. The Center certifies that it presently has in effect such an affirmative action program. The Center agrees to post in a conspicuous place available to employees and applicants for employment, notices setting forth the provisions of this non-discrimination clause. The Center shall in all solicitations or advertisements for subcontractors or employees placed by or on behalf of the Center state that the Center is an "Equal 0pvortunity . Employer". (b) The' Center shall keep such records and submit such reports concerning characteristics of applicants for employment and employees as the Council and the North Carolina Division of Aging may require. (c) The Center agrees to comply with such guidelines as the ~urchaser or the North Carolina Division of Aging may issue to implement the requirements of this paragraph, d) The Center agrees to 'comply with Title VI and Title VII of the Civil Rights Act and Section 506 of the Rehabilitation Act. 15. Indemnity and Insurance. The Center agrees to indemnify snd save harmless the Purchaser, its agents and employees from and against any and all loss, cost, damagesi expense and liability caused by the failure of the Center to fully perform its obligations under this agreement and in accord with its terms; or by an accident or other occurrence causing bodily injury, including death, sickness and disease to any person; or damage or destruction to property, real or personal, which may ar~se from operations, products or services rendered under this contract. 15a. Purchaser agrees co indemnify and save harmless the Center its agents and employees from and against any and all loss, cost, damages, expense and liability caused by the failure of Purchaser to fully perform its obligations under this agreement and in accord with its terms; or by an accident or other occurrence causing bodily injury, including death, sickness and disease to any person; or damage or
