66 <br /> <br />Review study with County during preparation and upon completion. <br />Furnish the County with ten (10) copies of the completed and approved <br />Space Needs Study. Additional copies will be furnished at the direct <br />cost to use for reproduction. <br /> <br />PART II - COUNTY'S RESPONSIBILITIES <br /> <br />A. During our services for the Space Needs Study, the County agrees to <br /> provide to us at the County's expense: <br /> 1. Existing drawings and other available information including floor <br /> plans of existing facilities. <br /> 2. Access to all County facilities as required. <br /> 3. Assistance from the County's staff as required to gather the <br /> necessary data. <br /> <br /> 4. Analysis of existing structural framing system and load bearing <br /> walls. <br /> <br />PART III - SERVICES NOT INCLUDED <br />A. The following services are not included as a part of this study: 1. Revision to correct code deficiencies will not be included. <br /> 2. Rearrangement of partitions to be limited to non-loadbearing <br /> and non-structural walls or partitions. <br /> 3. Detailed construction plans and specifications will not be included. <br /> 4. Revisions to structural, mechanical, plumbing and electrical <br /> systems will not be included. <br /> 5. Cost estimates of proposed revisions will not be included. <br /> Should the County decide to include any of the services in Part III, then the <br /> services will be performed for fee at the rate as described in Part IV, <br /> Paragraph B, and the maximum fee will be adjusted to include the additional <br /> service. <br /> <br />PART IV - PAYMENT FOR PROFESSIONAL SERVICE <br /> <br />A. For our services as outlined in Part I, the County agrees to pay <br /> $6,8OO.OO. <br />B. For additional services when requested by the County, not included <br /> hereinbefore, and for including requested services for items under <br /> Part III, the County agrees to pay a fee computed on a factor of <br /> 2.5 times our payroll costs, plus out-of-pocket expenses. <br />C. One half of the fee will be invoiced upon submission of the preliminary <br /> study and the balance of the fee will be invoiced upon submission of <br /> the study to the County. <br /> <br />PART V - GENERAL CONDITIONS <br /> <br />The County has the right to terminate the agreement at any time by written <br />notice to us, if the County finds that it is advisable or impossible to <br />continue the execution of the study, in which case, we shall be paid for <br />all services performed and all actual expenses incurred up to the date of <br />termination. As a condition for receiving payment after termination, we <br />shall deliver all completed and uncompleted documents to the County. <br /> <br />Ail invoices for services will be due within thirty (30) days after the <br />invoice is submitted. <br /> <br />HENNINGSON, DURHAM & RICHARDSON, INC. <br /> <br />/s/ A.
