301 August 27, 1985 Board of County Commissioners County of Cabarrus Post Office Box 707 Concord, North Carolina 28025 Attention: Mr. Charles D. McGinnis, County Manager RE: Miscellaneous Engineering Services Gentlemen: We herewith offer you engineering services in connection with miscellaneous projects for which Cabarrus County needs an engineering consultant. These services shall include, but not necessarily be limited to the following categories as set forth in three parts: Part I Part II Part III - Authorization for Services - Compensation - General Conditions Part I - Authorization for Services We will perform engineering services for projects designated by the County Manager or a duly authorized representative. The scope of work and authorization to proceed will be confirmed in writing by HDR to the person authorizing the work to be performed. Upon authori- zation, the work will be completed expeditiously. Part II - Compensation For services rendered under Part I of this Agreement, we will be paid a fee based on a factor of 2.5 times our payroll costs plus out-of-pocket expenses. Payroll costs include costs of salaries and of mandatory and customary benefits such as statutory employee benefits, insurance, pensions, holidays, and similar benefits. We will submit invoices for these services to the County on a monthly basis as the work progresses. Part III - General Conditions The County has the right to terminate this Agreement or any tasks being performed at any time by written notice to us, in which case we shall be paid for all services performed and all actual expenses incurred up to the date of termination. As a condition of receiving payment after termination, we shall deliver all completed and uncompleted drawings, documents, and data to the County. Ail invoices for engineering services will be due within thirty (30) days after the invoice is received. We will appreciate the privilege of doing this work for you.
