37 <br /> <br />Courthouse to a point in the east edge of South Union <br />Street; thence with South Union Street in a northerly <br />direction to the BEGINNING. <br /> <br /> To have and to hold said lands and premises, together with all <br />privileges and appurtenances thereunto belonging to Historic <br />Cabarrus, its successors and assigns, for the term and upon the <br />conditions hereinafter set forth that: <br /> 1. This Lease shall commence as of the date hereof and shall <br />exist and continue to and including the 30th day of January 1998; <br /> 2. In lieu of the payment of rent, Historic Cabarrus will <br />accept the Old Cabarrus County Courthouse in its present condition <br />and will: <br /> (a) secure it from damage by the elements and <br /> other hazards; <br /> (b) maintain the stucco and woodwork on the <br /> outside of the building; <br /> (c) maintain the interior of the building to a <br /> condition as much like its original condition as <br /> possible; provided, however, that central heating, air <br /> conditioning, electrical fixtures and appliances may be <br /> utilized in such ways as not to detract from the <br /> original appearance of the building and may make such <br /> additional improvements as shall contribute to the <br /> beauty of said building as it originally existed, all of <br /> which shall be done upon the advice and under the <br /> supervision of a competent architect and according to a <br /> general plan of restoration; and <br /> (d) maintain said building and the grounds covered <br /> by this lease in a good state of repair. <br /> 3. Historic Cabarrus will purchase and keep in force liability <br />insurance in such amounts and against such hazards as may be <br />necessary or desirable and will insure said building against fire <br />and windstorm for the use and benefit of Historic Cabarrus or its <br />contributors as their interests appear. <br /> 4. If the building upon the demised premises shall be damaged <br />by fire or other casualty, and such damages are of a minor nature, <br />the same shall be repaired by Historic Cabarrus as quickly as is <br />reasonably possible; but if said building shall be damaged to such <br />an extent as to render the same unfit for uses or occupancy, this <br />Lease shall terminate as of the date of such damage. <br /> 5. Historic Cabarrus shall be responsible for the payment of <br />all bills for water, heating and electrical current, and the <br />occupants of the building shall be responsible for the payment of <br />their own respective telephone bills. <br /> 6. Historic Cabarrus shall not have the right to assign this <br />Lease without prior approval by the County but shall have the right <br />to sublet any parts of the Old Cabarrus County Courthouse to such <br />organizations as it may desire subject to the terms of this Lease; <br />provided, however, that Historic Cabarrus and its under tenants <br />shall make no unlawful or offensive use of the premises. Historic <br />Cabarrus hereby warrants that it will not arbitrarily restrict the <br />use of said premises and, subject to its use of the building and the <br />agreements Historic Cabarrus enters into with any sub-lessee, will <br />make the building available for bona fide public uses. <br /> 7. If Historic Cabarrus shall not be diligent in its <br />solicitation of funds and shall fail to pursue its work in the <br />maintenance and preservation of the Old Cabarrus County Courthouse <br />in an orderly manner for a period of ninety (90) days after written <br />notice of such default by the County or shall violate any other <br />terms of this lease, the County shall have the right to its option <br />to declare this Lease canceled. <br /> 8. It is understood by the County that the funds for the <br />preservation and restoration of the Old Cabarrus County Courthouse <br />will necessarily be supplied by contributions from individuals, <br />firms, corporations, organizations, foundations and other agencies; <br />that the acquisition of such funds may not be constant but will be <br />affected by prior commitments of the respective contributors and <br />that a temporary suspension of work shall not be used as a reason <br />for cancellation of this Lease. <br /> <br /> <br />
