287 <br /> <br />day and per month, and the system cost per client trip; Provide the County with <br />summaries on a periodic basis; assist in the completion of funding requests (UMTA <br />Grants) and annual minor TDP updates; <br /> <br />E. Prepare and submit quarterly reports required by the North Carolina <br />Dep~rtment of Transportation; <br /> <br />F. On an on-going basis, evaluate the performance of the system.~for the <br />purpose of identifying potential operational and passenger batching improvements, <br />and assist the County in implementing the recommendations of the LOCAL AREA TDP; <br /> <br />G. Provide transportation only to authorized passengers in the system; Bill <br />the County on a monthly basis, utilizing an itemized invoice; <br /> <br />H. Make available any and all records and written material pertaining to <br />client use statistics, dispatch activities and vehicle data to the County upon <br />request; <br /> <br />I. Ensure that specified liability, collision, and comprehensive insurance <br />as specified in the County's RFP and CTS's proposal is in force on all vehicles; <br />and hold harmless the County and its officers, employees, and agents from every <br />claim, demand, liability, loss, damage, or expense of any nature whatsoever, and <br />all cost or expenses incurred in connection therewith which arises at any time <br />by reason of damage to the property of or personal injury to any persbn occurring <br />or arising out of the performance by CTS officers, employees, o~ agents, <br />occasioned by any actual negligent act or omission by CTS, except as specified <br />in Article II, Sections H and I; <br /> <br />J. Immediately notify the County of any accidents or incidents involving any <br />vehicles and clients, whether or not damage or injury results, and make a <br />detailed report of the accident or incident to the director of the agency whose <br />clients were involved, and as required to the North Carolina Department of <br />Transportation; <br /> <br />K. Adhere to the holiday schedule adopted by the County of Cabarrus for its <br />County Offices; <br /> <br />L. For the purpose of weather cancellations, follow the local School Board <br />policy for closings unless otherwise directed by the County. <br /> <br />M. Renegotiate the rate if the average service miles consistently falls below <br />or rises above 1/12 of 350,000 per annum. <br /> <br />N. Furnish additional vehicles to the County upon request at an additional <br />rate to be added to the rates herein contained. The charge for additional CTS <br />provided vehicles will be determined at the time of the request. <br /> <br />O. Adhere to the standards set within the County's RFP and CTS's response in <br />the bid proposal and the negotiated terms of the RFP and proposal. All <br />provisions so contained in the above proposal and RFP are a part of this <br />agreement by reference thereof. <br /> <br />P. Pay the County an amount equal to the County's cost of providing four (4) <br />full-time driver employees, up to a total reimbursement of sixty-five thousand <br />three hundred twenty-two dollars ($65,322.00), for the first year of service. <br />Payment to the County will be pro-rated based on the actual number of full-time <br />employees provided to CTS, up to said amount. <br /> <br />Q. Reduce the mileage billing rate in proportion to the number of full-time <br />employees provided to CTS by the County. <br /> <br />ARTICLE II. THE COUNTY WILL: <br /> <br />A. Provide a sufficient number of vans to service agencies participating in <br />the system, and will lease these vans to CTS at the rate of $1.00 per van per <br />year; <br /> <br />B. Prepare and submit to the North Carolina Department of Transportation grant <br />proposals and funding requests for replacement vans for the system, with the <br />assistance of CTS staff; <br /> <br /> <br />
